  • Bachelor’s degree in Business, Legal Studies, Finance, or related field (or equivalent professional experience) with a minimum of 5 years of contract management or legal operations experience in a financial institution or fintech company
  • Advanced contract review, negotiation, and risk assessment capabilities with strong analytical and organizational skills
  • Proficiency in contract lifecycle management systems and MS Office; ability to manage multiple priorities in a fully remote environment
  • Knowledge of financial institution regulatory frameworks (e.g., OCC, FDIC, Federal Reserve) and third-party/vendor risk management; experience negotiating complex vendor agreements

Requirements:

  • Lead the full contract lifecycle for complex financial institution agreements, including vendor contracts, MSAs, SaaS, SOWs, NDAs, amendments, renewals, and terminations
  • Review, redline, and negotiate contract provisions related to business terms and service levels while ensuring regulatory compliance and internal policies
  • Maintain accurate contract records and workflows in a contract lifecycle management (CLM) system; track obligations, renewal dates, and termination rights
  • Collaborate with Legal, Compliance, Risk, Information Security, Procurement, and business stakeholders; develop clause libraries and negotiation playbooks; drive process improvements

Position Summary:

The Contract Specialist reports to the Director of Contracts Negotiations & Administration and supports regulated financial institutions by leading the review, negotiation, and administration of complex contracts related to bank and credit union operations, third-party vendors, and strategic partnerships. This role works closely with internal consultants, project managers, client’s legal partners and business teams to ensure contractual terms align with best-in-class industry standards, financial institutions regulations, internal risk standards, and supervisory expectations. This role brings deep experience in financial institution contracting, third-party risk, and regulatory compliance, and is comfortable operating independently in a fully remote environment.


Essential Functions & Additional Responsibilities:

  • Lead the full contract lifecycle for complex financial institution agreements, including vendor contracts, MSAs, SaaS, SOWs, NDAs, amendments, renewals, and terminations
  • Review, redline and negotiate contract provisions related to business terms and service levels
  • Ensure contracts meet financial institution regulatory requirements and internal policies related to third-party risk management
  • Partner closely with Legal, Compliance, Risk, Information Security, Procurement, and business stakeholders to assess and mitigate contractual risk
  • Identify non-standard terms and escalate higher-risk issues
  • Maintain accurate contract records and workflows within a contract lifecycle management (CLM) system
  • Track key contract obligations, renewal dates, and termination rights to capture key data
  • Contribute to the development and organization of clause libraries and negotiation playbooks
  • Provide guidance to stakeholders on contract requirements, policies, and regulatory expectations
  • Support continuous process improvement initiatives
Requirements

Required Skills & Competencies:

  • Advanced contract review, negotiation, and risk assessment capabilities
  • Strong analytical skills with the ability to evaluate and mitigate contractual risk
  • Excellent organizational skills with the ability to structure and manage complex information
  • Sound independent judgment and decision-making abilities
  • Demonstrated experience in process improvement and documentation development
  • Strong written and verbal communication skills

Required Education and Experience:

  • Bachelor’s degree in Business, Legal Studies, Finance, or a related field (or equivalent professional experience)
  • Minimum of 5 years of experience in contract management, contract administration, or legal operations within a financial institution or financial technology (fintech) company
  • Comprehensive knowledge of contracting requirements, including third-party and vendor risk management
  • Proven ability to independently negotiate and finalize complex vendor agreements
  • Exceptional attention to detail and strong organizational capabilities
  • Ability to manage multiple priorities and deadlines in a fully remote work environment
  • Proficiency in Microsoft Office and contract lifecycle management (CLM) systems
  • Experience supporting financial institution regulatory frameworks (e.g., OCC, FDIC, Federal Reserve) preferred
  • Working knowledge of GLBA, data privacy regulations, SOC reports, business continuity planning, and information security standards
  • Experience negotiating agreements with core financial institution providers, technology vendors, and professional services firms
  • Demonstrated ability to synthesize, organize, and manage large volumes of contractual and operational data for future reference and distribution

Physical Requirements:

  • Prolonged periods of sitting at a desk and working on a computer

Position Type/Expected hours of Work:

  • Full Time/ 40 hours per week

Location:

  • Remote 
  • Limited travel required to attend company/department meeting 1-2 times per year

Salary Description
$105,000 -$115,000/yr + bonus
