  • Extensive federal contracting and acquisition experience with strong knowledge of FAR, DFARS and related policies
  • Proven ability to lead contract negotiations, dispute resolution, and strategy for competitive proposals and modifications
  • Proficiency in drafting and managing contractual documents including NDAs, teaming agreements, subcontracts with flowdowns, prime contracts and task orders
  • Experience with supplier/subcontractor management, deliverable reviews, risk assessment, and contract lifecycle administration

Requirements:

  • Provide senior-level federal contracting and acquisition support, ensuring compliance with FAR/DFARS and regulatory changes, interpreting requirements and mitigating risks (including OCI)
  • Lead contract negotiations with government customers, subcontractors, and partners; resolve disputes and support strategy for proposals, sole-source actions, and modifications
  • Draft, review, negotiate, and manage a variety of contractual documents (NDAs, TAs, subcontracts, prime contracts, modifications, options, closeout) and maintain organized records
  • Oversee supplier/subcontractor management, including reviews of deliverables and performance, guidance on supplier selection and risk, subcontractor training, and full lifecycle contract administration (kickoff, modifications, deliverables, closeout) and coordinate with Contracting Officers, CORs and subcontractors

Contracts SME Consultant
Part-time (20-24 hours per week)

Marathon TS is seeking a part-time Contracts SME/ Consultant to support our client in a fully remote work environment.

Scope:


The Consultant shall provide senior-level federal contracting and acquisition support our client. Services shall include, but are not limited to, the following:

1. Contract Compliance & Regulatory Support
· Ensure compliance with the Federal Acquisition Regulation (FAR), agency supplements (e.g., DFARS), and applicable corporate policies.
· Interpret and advise on contractual requirements, regulatory changes, and risk implications.
· Identify and mitigate organizational and contractual conflicts of interest (OCI).
2. Contract Formation & Negotiation
· Lead contract negotiations with government customers, subcontractors, and partners.
· Resolve contractual disputes, clarify terms and conditions, and facilitate agreement between parties.
· Support strategy development for competitive proposals, sole-source actions, and contract modifications.
3. Contract Drafting & Document Management
· Draft, review, negotiate, and manage a variety of contractual documents, including:
o Non-Disclosure Agreements (NDAs)
o Teaming Agreements (TAs)
o Subcontract Agreements (including flowdowns)
o Prime Contracts and Task Orders
o Modifications, options, and closeout documentation
· Maintain organized records and contract files in accordance with internal standards.
4. Supplier & Subcontractor Management
· Oversee subcontractor and supplier contracting actions, ensuring compliance with prime contract requirements.
· Conduct reviews of subcontractor deliverables and contractual performance.
· Provide guidance on supplier selection, risk assessment, and corrective actions when needed.
· Deliver training to internal staff regarding subcontracting policies, compliance, and contract processes.
5. Contract Lifecycle Administration
· Provide full lifecycle support for awarded contracts and subcontracts, including:
o Kickoff and onboarding activities
o Contract interpretation and compliance guidance
o Modifications, funding actions, and task order management
o Deliverable tracking and documentation
o Closeout activities and audit support
· Serve as a primary point of contact for contractual correspondence with Contracting Officers (CO), CORs, and subcontractors.
6. Proposal & Capture Support
· Support capture and proposal teams through review of solicitations, evaluation of risk and compliance, and preparation of contractual volumes and narratives.
· Participate in pricing strategy discussions as needed, identifying contractual risks and recommended mitigations.

7. Reporting & Communication
· Provide regular status updates on contract actions, risks, and outstanding items.
· Prepare recommendations, decision papers, and briefing materials for leadership.
· Ensure coordination and information sharing across Steel Point and its affiliated entities as appropriate.
