Roles & Responsibilities

  • Bachelor’s Degree or equivalent experience in contracting
  • Minimum of 3+ years of commercial contracting experience, including complex or non-standard agreements
  • Experience in a fast-paced, multi-task environment with the ability to work independently and under pressure
  • Proficiency in MS Office (Word and Excel) and strong organizational, communication, and attention-to-detail skills

Requirements:

  • Independently create, legally review, and negotiate Confidential Disclosure Agreements (CDAs), Work Orders (WOs), Start Up Agreements (SUAs), and Letters of Intent (LOIs) per Clario contracting standards
  • Under senior oversight, review and negotiate Master Service Agreements (MSAs), Stand-Alone Agreements (SAAs), and Data Privacy Agreements (DPAs)
  • Manage escalations to Subject Matter Experts (SMEs) for terms outside Clario standards; monitor, update, and prioritize cases in Salesforce
  • Maintain organized document storage; load, save, track electronic signatures; support audits, QRG/process updates, and interdepartmental projects

Clario, a leader in endpoint data technology solutions for the clinical research industry, is expanding its operations in Budapest and seeks a talented Contracts Specialist. In this role, you will be responsible for supporting Clario’s Commercial Contracting activities including but not limited to supporting the collaboration of key contractual data updates & documents, electronic signature reviews & loads, and document retention & saving.

What You’ll Be Doing

  • Per Clario contracting standards, independent creation, legal review, and negotiation, of Confidential Disclosure Agreements, (“CDA”), Work Orders (“WO”), Start Up Agreements (“SUA”) and Letters of Intent (“LOI”).

  • As deemed required, independent legal review of Change Orders (“CO”)

  • Per Clario contracting standards and with senior oversight, legal review, and negotiation of Master Service Agreement (“MSA”), Stand-Alone Agreements (“SAA”), and Data Privacy (“DPA”).

  • Managing and tracking escalations to Subject Matter Expects (“SME”) for all terms outside Clario standards and/or Playbook.

  • Independently update, monitor, and prioritize all cases assigned in Salesforce.

  • Independent entry of key legal terms, data, and documents into Salesforce

  • Support the monitoring of centralized team email and action emails accordingly.

  • Support updates to Commercial Contracts Quick Reference Guides (“QRG”) and Process Flow as assigned.

  • Maintain an organized file structure for all approvals, agreement versions and fully executed agreements in a centralized departmental electronic document storage location.

  • Per Clario’s contacting standards, independently review, track, load, save and communicate Electronic Signatures.

  • Participate in interdepartmental and departmental projects, as needed and assigned.

  • Assist with client and other regulatory agency audits as needed/assigned.

Additional responsibilities:

  • Participate in meetings with Contracts team and other departmental meetings as needed.

  • Assist in the training of new staff.

  • Provide other support on special projects as assigned by management.

  • Maintain Clario SOP and other corporate training compliance.

What We Look For

  • Bachelor’s Degree or company specific or proven related experience in contracting. A combination of experience and/or education will be taken into consideration.

  • Minimum of 3+ years’ Commercial Contracting experience or related experience with exceptional understanding of concepts, practices, and procedures in commercial contracting, to include experience working with complex and/or non-standard agreements.

  • Pharmaceutical, Contract Research Organizations (CROs), Healthcare, and/or Clinical Trial Management a plus.

  • Experience in a fast-paced multi-task environment; ability to work independently and under pressure.

  • Computer skills. MS office suite (to include Intermediate Word and Basic Excel skills).

  • Strong organizational skills.

  • Strong interpersonal, professional communication and client interaction skills.

  • Strong attention to detail, plus the ability to work as part of a team as well as function as an individual contributor.
