About Sepsis Alliance

Sepsis Alliance, the first and leading sepsis organization in the U.S., seeks to save lives and reduce suffering by improving sepsis awareness and care. More than 1.7 million people are diagnosed with sepsis each year in the U.S. with more than 350,000 adults dying and over 50% of survivors experiencing post-sepsis syndrome and other lingering effects, including amputations. At Sepsis Alliance’s founding in 2003, only 19% of U.S. adults were aware of the term “sepsis.” After over ten years of educational efforts for the general public and healthcare professionals through Sepsis.org, Sepsis Alliance Clinical Community, Sepsis Alliance Institute, and Sepsis Alliance Voices, awareness is at 65%. Over 30,000 healthcare professionals across the country have attended sepsis webinars and courses to elevate their practice.

Board Member Responsibilities

Board of Directors: The Board of Directors supports the work of Sepsis Alliance and provides mission-based leadership, strategic governance, and financial support to the organization. Specific Board Member responsibilities include:

Leadership, governance, and oversight:

  • Act as an ambassador for Sepsis Alliance
  • Attend Board Meetings. There are regular quarterly meetings of the Board. It is expected that board members will attend at least 75% of these conference calls or video meetings and make every effort to attend the Sepsis Alliance in-person board meetings (one per year).
  • Serve on at least one Board committee. Board Members may elect to serve on multiple committees and if requested and able, to serve as a committee chair.
  • Review and approve Sepsis Alliance’s strategic and business plans and review metrics used to evaluate the organization’s performance and effectiveness.
  • Stay informed of, and meet all, legal and fiduciary responsibilities.
  • Approve Sepsis Alliance’s annual budget, tax returns, audit reports, and material business decisions.
  • Suggest potential new Board Members to the Nominating Committee.
  • Abide by Sepsis Alliance’s policies and procedures, including the Conflict of Interest Policy, and complete a conflicts questionnaire annually.

Financial and fundraising:

  • Board service implies a commitment of board members’ time, talent, and treasure. Board members will consider Sepsis Alliance a top philanthropic priority and their gifts to Sepsis Alliance will reflect their passion for Sepsis Alliance and our mission. Sepsis Alliance expects to have 100% of board members make contributions that are commensurate with their capacity and make a 1-year pledge upon joining the board and in each subsequent year of service.
  • It is understood that all board members are unique and can provide a range of time, talent, and treasure. Some board members may have a significant personal financial and/or network capacity to give, while other members may be less able to make or secure large financial contributions. In these latter cases, the board and management will work with the members to fully leverage their time and talent and to identify other ways to help generate financial support for the organization.
  • In addition to personal financial support, board members are asked to fundraise by means of soliciting gifts from their personal and professional networks, providing in-kind services and resources, securing items or experiences for auctions, and helping to bring new funders to Sepsis Alliance.

Terms of office:

Board Members: are elected for three (3) year terms. New board member terms will start at the date of the closest calendar year start which may extend or shorten their initial term. Board Members may serve four (4) consecutive terms, provided that the Board Member continues to meet his or her responsibilities as outlined above. The election and re-election of each Director will be determined by a vote of the board of directors.

Officers: will serve for two (2) year terms. Officers may serve two (2) consecutive terms, provided that the Officer continues to meet their responsibilities as outlined and wishes to continue in that role. The election and re-election of each Officer will be determined by a vote of the board of directors.
