Job description

We are looking for a Counsel who will:

  • Analyze, draft, negotiate, and manage the approval process for contracts related to the Company’s CDD and CX businesses.

  • Analyze, review, draft and negotiate customer-facing agreements related to the Company’s CDD and CX businesses.

  • Consistently analyze and mitigate complex contractual risk, while increasing efficiency and consistency in contracting.

  • Analyze, develop and implement IP strategies, manage IP portfolios (including but not limited to ensuring timely registration of trademarks and patents), oversee patent and trademark prosecution, handle IP litigation and disputes and negotiate IP-related terms and conditions in various agreements. This will involve frequent liaison with and management of outside counsel and associated budgets.

  • Lead analysis of internal company invention disclosures to assess suitability for potential patent protection. This task will involve regular interaction with product development teams and senior leadership groups across the company’s product organization as a member of the Patent Review Team.

  • Analyze, develop and implement the legal strategy related to the Company’s use of AI technologies. This requires an understanding of evolving AI laws, regulations and ethical considerations and the ability to provide strategic counsel across various departments and regular active participation in the company’s internal AI strategy and process vetting meetings.

  • Analyze, review, draft and negotiate vendor-facing procurement agreements related to technology and other goods and services.

  • Analyze, draft, finalize and apply internal governance policies in view of their impact upon the work for which they are responsible. Provide written and oral legal advice as requested.

  • This job may result in nominal domestic travel up to 10%.

Is this opportunity right for you? We are looking for candidates who:

  • Minimum 8-10 years of relevant legal experience

  • Bar admission in good standing

  • Experience in drafting, advising on and negotiating IT related commercial agreements.

  • Experience managing and maintaining trademark and patent portfolios and liaison with external counsel.

  • Effective analytic capabilities and written and oral communication skills.

  • Effective negotiator with strong business acumen and ability to serve as a business advisor.

  • Ability to work with minimal supervision and manage multiple projects under time deadlines.

  • J.D. from accredited law school.

  • Licensed / qualified to practice law in the United States

Position Pay Range:

This range represents the low and high end of the salary range for this position. Actual salaries will vary based on factors including but not limited to geographical location and experience.

$104,583.88-$167,334.85

This role is eligible for a bonus opportunity.
