Subject Matter Expert (SME) Due Diligence and Acquisitions of Technology Companies

About the Role: We are seeking a highly experienced Subject Matter Expert (SME) in due diligence and acquisitions within the technology sector to support our client's acquisition firm. This contract, on-demand role involves providing detailed reports on potential acquisition targets, focusing on financial, technical, and operational aspects. The SME will collaborate closely with the firm's C-suite executives, guiding the decision-making process with high-level assessments and strategic recommendations.

Key Responsibilities:
Due Diligence Leadership:
Led and managed in-depth due diligence efforts for technology companies, evaluating financials, infrastructure, software, and IP portfolios.
Prepare comprehensive reports for the venture capital firm, highlighting key findings, risks, and opportunities.
Identify and assess potential synergies, integration challenges, and risk factors related to the acquisition.

Risk Assessment & Reporting
Conduct risk assessments on technology assets, including cybersecurity, compliance (GDPR, HIPAA), and scalability.
Review intellectual property, patents, and technology ownership to identify value or risks.
Provide mitigation strategies for technical and operational risks related to acquisition.
Generate detailed reports for the venture capital firm's executive team, synthesizing due diligence findings into actionable insights.
Present high-level recommendations to C-suite executives on acquisition targets, focusing on the strategic fit and long-term value.
Offer expert guidance on deal structuring, valuation, and potential returns based on technology assets.
Develop technology integration strategies post-acquisition to ensure seamless alignment with the venture capital firm's portfolio companies.
Advise on how target companies' technologies can be leveraged for growth and innovation within the acquiring firm's ecosystem.
Collaborate with leadership to ensure a successful integration that maximizes value.
Stay up to date on market trends, emerging technologies, and regulatory changes in the tech sector.

Skills & Competencies:
Expertise in analyzing technology systems, software, cloud infrastructure, and intellectual property.
Financial modeling skills with a focus on the valuation of technology assets.
Exceptional communication and reporting skills, with a proven ability to present findings clearly to senior leadership.
Strong project management experience, particularly in leading multidisciplinary due diligence teams.

Education:
Bachelor's degree in Computer Science, Information Technology, Business, Finance, or related field. Advanced degrees (MBA, M.S.) are highly preferred.
