About Commenda

About the Role

We are looking for an experienced Corporate Secretary to support Commenda's Singapore Incorporation and Compliance product. The role will involve building out and operating Commenda's Singapore entity formation, secretarial, filing, and nominee director workflows. This includes:

  • Manage the incorporation process for new companies, ensuring compliance with all legal requirements
  • Oversee the smooth transition of corporate secretary appointments for existing client companies
  • Draft and prepare essential corporate documents, including AGM and EGM minutes, Board Resolutions, and other vital paperwork
  • Maintain accurate and up-to-date corporate records, including minutes books and official registers
  • Cultivate and maintain strong, professional relationships with clients in your assigned portfolio
  • Handle the preparation and submission of invoices for secretarial fees and additional services
  • Coordinate and execute the company striking-off process when required, ensuring all legal procedures are followed

Requirements

  • Professional qualification from Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA) or equivalent
  • Minimum of 5 years of experience in a similar role, preferably in Singapore
  • Strong knowledge of Singapore corporate law and SGX listing rules
  • Excellent verbal and written communication skills in English
  • High level of integrity and confidentiality
  • Strong organizational and time management skills
  • Proficiency in Microsoft Office suite and familiarity with corporate secretarial software
