Job description

This is a full-time remote opportunity (US/Canada). Nuwave Communications is seeking a junior level commercial contracts legal counsel (0 - 5 years) or an experienced Contracts Manager/Specialist (minimum 3+ years) who will be responsible for reviewing, drafting and negotiating commercial contracts (SaaS, voice and data service agreements and partner agreements) with minimal supervision and able to manage multiple matters in an exciting, fast-paced environment.  We are looking for candidates who have a strong ability to successfully adapt and respond to changing situations and calmly navigate teams and negotiations to a successful conclusion while mitigating risks to the company.  The candidate must have a strong ability to work collaboratively with cross-functional teams, have a business mindset, enjoy learning new things, have a positive attitude, and must possess excellent communications skills. 

Job Description:

The remote (US/Canada) Junior Legal Counsel or Contract Manager/Specialist role is responsible for providing legal support to our business teams for reviewing, drafting and negotiating commercial agreements; advising business/sales teams; working collaboratively with cross-functional teams and external advisors.  Responsible for reviewing, drafting and negotiating deals and monitoring contracting workflows and approvals, finalizing contracts and updating of internal systems. 


Essential Duties and Responsibilities:
  • Strong knowledge of contract law
  • Strong reviewing, drafting, negotiation and communications skills
  • Advise on risks and liabilities of proposed commercial transactions and able to come up with creative and practical legal solutions to meet business objectives
  • A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm under fire
  • Detail-oriented with the ability to work independently or collaboratively as part of a team
  • Support all departments of the company including but not limited to Management, Sales, Operations, Development, HR, Finance and Marketing in connection with legal and/or contractual requests.
  • Must be able to juggle multiple priorities and tasks in a fast paced environment, but be focused when needed on the matter at hand.
  • looking for candidates with global experience in commercial contracts (experience in telecommunications and/or IT/technology contracts is a plus)
  • Proficiency in MS Word, MS Excel, MS Outlook, Adobe Acrobat and different unified communications platforms (Teams, Zoom, Webex)
  • Experience at multinational corporations in international telecommunications and/or IT/software procurement a plus
  • For legal counsel position:  a J.D., LLB or LLM (or foreign equivalent) with admission to the bar in at least one relevant jurisdiction and/or at least one common law jurisdiction with good standing
  • For Contract Manager/Specialist:  IACCM Certification, equivalent diploma, or foreign trained lawyer who is based out of the US or Canada
