The Job:  

Stanley Black & Decker’s Legal team is seeking a fulltime Corporate Counsel, with experience in M&A, capital markets transactions and securities regulations to join our team as a remote employee. In this role you will report to the Assistant General Counsel, M&A, Corporate Governance & Securities supporting legal aspects of Stanley’s M&A activities, our capital markets and financing transactions, public company reporting and governance matters, as well as other strategic investments and partnership activities. You will partner closely with our Business Development, Treasury and Finance teams on a wide range of matters, including assisting with negotiating acquisition/divestiture transactions, various corporate financing arrangements (including capital markets, lending and commercial paper transactions), conducting and managing the due diligence process on such deals, and coordinating and driving an efficient closing for such transaction. You will also provide support and assistance with our corporate governance and SEC reporting obligations.  You’ll get to:  

  • Assist with providing legal guidance to our Business Development team, and working with external advisors on, M&A transactions Including:
    • Drafting, reviewing and negotiating NDAs
    • Conducting thorough legal due diligence on potential acquisition targets.
    • Guiding the team on disclosure and responses to diligence request on divestiture transactions
    • Assisting in structuring, executing and closing M&A transactions to optimize value, mitigate legal risks, and ensure alignment with Stanley’s strategic objectives
  • Provide legal support on a wide variety of financing matters including capital markets transactions, revolving/term loan facilities, commercial paper programs, floorplan financing arrangements and general banking arrangements
  • Assist with legal advice and preparation of 10-K’s, 10-Q’s, 8-K’s, Proxy Statements/ARS, Section 16 filings, earnings releases/materials and other SEC filings and securities regulation related matters
  •  Support general corporate governance matters including Board, Board Committee and Shareholder meetings
  • Oversee the organization and maintenance of subsidiary corporate secretarial matters
