The Opportunity

We are seeking a Global Project Manager - Corporate Practice to join our Firm in our Los Angeles office. This position plays a pivotal role in managing and coordinating complex corporate transactions across our international offices. This position will provide high-level assistance, guidance, support and training to attorneys and paralegals, ensuring the efficient allocation of resources and adherence to firm-wide best practices. This role involves significant interaction with department leaders, office leaders and partners to support the Firm’s Corporate practices.

  • Assists with and consults on complex Corporate transactions across offices firm-wide, assuming ownership of the final outcome.
  • Assists attorneys in drafting SEC filings, comment letters, and no-action letters.
  • Keeps abreast of changes in SEC and stock market rules and updates attorneys regarding changes.
  • Maintains alerts on public company SEC filings and updates attorneys with changes.
  • Monitors corporate governance rules and updates attorneys regarding changes.
  • Assists with ongoing research and monitoring news and alerts for specific practices and/or clients, and updates attorneys on same.
  • Offers firm-wide guidance to attorneys and members of the Department, acting as a central hub for Corporate matters, firm knowledge, and best practices.
  • Leads bi-monthly global conference calls with Corporate paralegals and Paralegal Services Department management to discuss assignments, share updates on firm deals, present on market developments, identify training opportunities, and help allocate resources efficiently.
  • Coordinates and assists with firm-wide Corporate filings, including Form D, Section 16, Form 4(s), Form ID, and 13G filings.
  • Advises and/or trains attorneys, clients, paralegals, and Corporate colleagues on SEC filing rules and how to prepare and submit SEC filings. Maintains relationships with SEC-related vendors and other SEC employee contacts to assist attorneys when filing problems arise.
  • Coordinates and trains Corporate members of the Department firm-wide.
  • Coordinates and assists with the organization and management of electronic and paper files, ensuring all Corporate files are maintained within Department-approved protocols and case management systems.
  • Facilitates communication across support departments and within case/deal teams.
  • Performs non-legal research using various research tools, including the Internet, Bloomberg, EDGAR, etc., as needed. Conducts due diligence research on corporate transactions and performs financial analysis relating to attorney research and regulatory requests firm-wide.
  • Coordinates and assists with preparation for client meetings.
  • Provides training and mentoring for corporate paralegals, including research related to SEC filings, LEXIS, Bloomberg, and the Internet. Provides basic corporate training to new corporate associates and assists summer associates and new corporate associates with general corporate department questions and procedures.
  • Prepares background reports on companies and individuals for client development purposes for both domestic and international offices. Monitors local business activities for client development purposes.
  • Performs other related duties as assigned.

Qualifications

  • Knowledge of firm operation, policies, and procedures
  • Knowledge of relevant firm computer software programs (e.g., Outlook, Excel, PowerPoint) with the ability to learn new software and operating systems
  • Ability to navigate various electronic databases and document repositories
  • Strong research skills and proficiency in using various research tools, including the Internet, Westlaw, LexisNexis, SEC/EDGAR, Bloomberg, and other media and financial services
  • Ability to discreetly handle Department matters, including training, personnel, and firm culture
  • Ability to coordinate large-scale and/or high-level projects among colleagues, support staff, and other departments
  • Proven ability in assuming a firm-wide leadership role
  • Excellent analytical, troubleshooting, organizational, and planning skills
  • Demonstrates effective interpersonal and communication skills, both verbally and in writing
  • Ability to work well independently as well as effectively within a team
  • Ability to handle sensitive matters and maintain confidentiality
  • Ability to organize and prioritize work, handle multiple projects, and shift priorities
  • Ability to work well in a demanding and fast-paced environment and under pressure
  • Demonstrates close attention to detail
  • Flexibility to travel and adjust hours to meet operating and business needs
  • Knowledge of or ability to learn Corporate department processes and deal management
  • Knowledge of financial statement analysis and basic financial accounting
  • Experience in SEC compliance under the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and the Sarbanes-Oxley Act of 2002
  • Ability to provide excellent customer service
  • High level of professionalism
  • Demonstrated leadership skills and ability to train others

Education And Experience:

  • Bachelor's degree.
  • Minimum of ten years related experience in a law firm or professional services firm environment or an equivalent combination of education and experience.

The starting base salary for this position is expected to be within the range listed under Salary Details.  Actual salary will be determined based on skills, experience (to the extent relevant) and other-job related factors, consistent with applicable law.
