Position Overview
The Director, Contracts & Corporate governance will be working closely with our VP & General Counsel in managing contracts, agreements, and other corporate documents. This position is a remote full-time permanent position available in the US or Canada (British Columbia or Ontario).
Job Responsibilities:
Work closely with the General Counsel to address Trio’s contract, corporate governance, and legal needs.
Review and comment on contracts and related documents, including but not limited to master services agreements, consulting agreements, work orders, statements of work, contract amendments, partnership and teaming agreements, non-disclosure Agreements, purchase orders, vendor contracts, leases, demand letters, settlement agreements, and other comparable commercial agreements.
Identify and mitigate business and legal risks in prospective and existing contracts and ensure the necessary internal approvals from management and business units on prospective contracts have been obtained prior to binding.
Oversees the Delegation of Approval Authorities (DOAA) that consists of a list of authorized signatories and a list of authorized approvers and makes necessary modifications when needed or as proposed by the Executive Leadership Team and be the lead for processing documents for signature via DocuSign and other e-signature platforms.
Serve as a liaison between internal and external parties during contract development and negotiation stages.
Interface and collaborate with key departments including Business Development, Service Lines (i.e., Supply, Renewables, Sustainability, TE, etc.), IT, Marketing, Regulatory, Accounting, Finance to ensure accuracy and prioritization of contract activity.
Understand and be able to articulate consistent language standards and rules for company contracts and contracting processes, and suggest alternative provisions and processes where opportunities for improvement are identified.
Within contract lifecycle management system (IntelAgree), develop, populate and manage the Legal contract database (records management) system.
Manage tracking of detailed contract information, including key contract dates (expirations / renewals / etc.) and non-standard contract provisions for easy access.
Oversee administration of insurance program, including reviewing contractual requirements, liaising with insurance broker, and preparing insurance applications.
Review and process regulatory applications or annual filings, including with respect to energy and privacy matters.
Address ministerial contract and organizational matters (e.g., corporate record keeping) and support work that is either currently not being done or perhaps is spread across several business units.
Administer and maintain library of standard contracts.
Assist Legal department in accessing contracts or other documentation as needed in response to legal hold letters, investigations, subpoenas, and/or discovery.
Advise on and improve corporate governance best practices processes and adapt them to changing requirements, policies, and procedures.
Manage and maintain document registries and databases and implement best practices with respect to the upkeep of corporate records.
Drive continuous improvement to ensure established processes keep pace with increasing business activity.
Identify opportunities for process automation or other process change that decrease process time and enable transparency.
Potential opportunity for people management including managing a remote team.
Additional responsibilities as necessary.
Desired Background:
Bachelor’s degree in applied science, business administration, pre-law or a similar field is preferred.
Seven to ten years of proven experience in legal, contract administration, contract origination, corporate governance, corporate paralegal, or similar fields.
Relevant experience in energy transactional documents is a plus.

Superior verbal, written and interpersonal communication skills with knowledge of legal terminology.
Must be a quick thinker, highly analytical, articulate, enthusiastic, and self-motivated, with strong organizational skills and the ability to be responsive/operate well in a fast-paced, collaborative team-oriented environment, and follow through on programs and plans.
A team player, capable of working effectively on both a collaborative basis and independently, with the ability and understanding of how to operate in a dynamic, multi-cultural organization with a diverse portfolio of clients.
Proficient use of Microsoft Office Suite: Word, Excel, PowerPoint, Teams, and Outlook and any contracts lifecycle management system, preferably IntelAgree.
Able to work in a time-sensitive environment with non-flexible deadlines and able to handle multiple tasks concurrently.
Able to meet highest attendance requirements and demonstrate integrity at all times.
Able to speak, read and write English.
