The Contracts Administration Manager manages and maintains contracts in accordance with company policies and procedures, SOPs, and legal requirements. Responsible for preparation and administration of contracts and agreements with third parties to which Quest Diagnostics will provide services. Maintenance of electronic and physical contract repositories and contract management system.
Contract Administration and Compliance:
Manage day-to-day administration of new and existing contracts
Coordinate all activities related to the preparation, review, execution and maintenance of contracts and agreements for services provided by the Healthcare Analytics Solutions Team
Review third-party-provided agreements for common business terms and conditions, providing suggestions for language revisions when required to support business capabilities and requirements.
Work cross-functionally with internal colleagues, including without limitation, Legal, Compliance, Finance and other business contacts as appropriate, to coordinate the review and finalization of contracts. Assist assigned attorney in collecting information as required to complete legal review.
Drafts requests for legal review and other related operative documents
Engage designated representatives of each appropriate business area to provide business review of contract language and requirements.
Maintain version control of agreements and contracts under review.
Provide primary support for contract administration processes including performing reviews of proposals, reporting contract amendment status, tracking administrative contract amendments, and maintaining correspondence control
Manage and maintain contract database and associated files
Oversee the contract administration process, including issuing, receiving, reviewing, communicating changes, routing for approval per company SOP’s, and tracking hospital contracts to final execution
Develop management reports and monitor statistics related to contract administration
Coordinate resolution of contract issues internally and externally
Work on other projects related to contract administration as assigned
Monitor, review, interpret, and ensure compliance on contracts
Review contract documentation for discrepancies and conformance to standards
Contract Change Management:
Provide recommendations on policy change and development of policy to support changing regulatory requirements
Provide recommendations on contract administration procedure change and development of procedures to improve efficiency
Assist with identification of risks associated with contract work flow and controls and identifies strategies to alleviate risk and communicates recommendations to executive management
Support the design of contracting tools and workflows for the company
Contract Issue Management / Dispute Resolution:
Provide assistance and recommendations in the negotiation of contracts
Assist business representatives as necessary, working with Legal and Compliance in collecting information and responding to information requests, subpoenas, and litigation discovery
Data Use Exclusion System Management & Audit Reporting:
Manage the Data Use Exclusion System’s adherence to contracting considerations for Quest
Manager and prepare audit reporting for contracting and related activities
Education Preferred
BA/BS in business or legal preferred. Pertinent experience may be substituted for degree
Advanced degree a plus
Work Experience
7-10 years in contract administration or related field
Advanced knowledge of the practices, procedures, and processes involved in contracts administration
Experience in reading and interpreting contracts, agreements and legal documents and offering language modifications to meet specific requirements
Experience modifying documents while tracking changes and versions utilizing Microsoft Word
Experience managing multiple simultaneous projects and managing the flow of information across multiple work groups
Highly Desirable Experience
Experience working with and administering web-based applications or other contract administration products
Prior experience as a contract administrator or contracts auditor in a business setting
Other
Must be detail oriented with strong reporting and organizational skills
Ability to manage multiple projects to successful and timely completion
Ability to analyze and resolve complex issues using effective problem-solving and decision-making
