Job Overview 

We’re on the lookout for a dynamic Corporate Paralegal who’s eager to make a difference. In this role, you’ll ensuring that the company's legal affairs are handled efficiently and in compliance with applicable laws and regulations. Your contributions will help us continue to push the boundaries of what’s possible in healthcare.  

Key Responsibilities 

  • Document Preparation and Review:
    • Support the maintenance of corporate entity compliance 
    • Assist with preparation of periodic regulatory filings for our publicly traded company and ensure timely submission.
    • Assist with the drafting, review, and editing of corporate documents, including corporate resolutions, incumbency certificates, and related documents for various corporate actions.
  • Compliance and Governance:
    • Ensure compliance with entity registration requirements and legal regulations.
    • Assist in maintaining corporate governance records, such as meeting minutes, bylaws, and shareholder agreements.
  • Transaction Support:
    • Manage contract archival process to enable accurate contract searches and reporting.
    • Assist in the due diligence process for mergers, acquisitions, and other corporate transactions.
    • Organize and maintain transaction documentation and facilitate communication between parties.
  • Corporate Records Management:
    • Maintain and update corporate records, including minute books and corporate databases.
    • Manage document storage and retrieval processes.
  • Administrative Duties:
    • Manage corporate governance calendar, scheduling meetings and reminders as appropriate.
    • Handle confidential information with discretion and maintain professional standards.

 

Ideal Candidate 

  • Education: Bacherlor’s degree or equivalent experience; paralegal certification preferred.
  • Experience: 2-3 years’ experience as a corporate paralegal, preferably in an in-house setting. 
  • Skills:
    • Strong understanding of corporate law and legal terminology.
    • Excellent organizational skills with the ability to manage multiple tasks and deadlines.
    • Proficiency in document management software.
    • Strong written and verbal communication skills.
    • Attention to detail and accuracy.
    • Ability to work independently and collaboratively in a team environment.
    • High level of professionalism and discretion in handling sensitive information.
  • Certifications: Paralegal certification preferred
