About the Role:
We are seeking an experienced attorney to join our legal team as Assistant General Counsel, Commercial (AGCC). The AGCC will be embedded with our business development and marketing teams to assess counterparty risk, negotiate deals, review contracts, create form agreements for various types of transactions, and advise on communications and content – all while ensuring compliance with an evolving global regulatory framework. The AGCC will work closely with the General Counsel to review and update legal strategies for commercial transactions and marketing content, and then lead the implementation of these strategies. This role requires an individual who has a deep understanding of the regulatory landscape for companies operating in the blockchain industry, and who thrives in ambiguity.
Key Responsibilities:
•Develop and implement legal strategies that align with the company’s objectives
•Provide guidance, advice and support on transactions with partners, customers, and vendors, from deal ideation through contract negotiation, execution and post-execution contract management
•Diligence potential partners, customers and vendors to assess and manage counterparty risks
•Provide guidance and advice on marketing, promotional, and public relations content
•Support new product development
•Ensure compliance with applicable laws and regulations
•Monitor changes in relevant laws, regulations and enforcement activity that may be relevant to the company, providing updates and guidance where appropriate
•Prepare and deliver trainings on legal and compliance issues
•Enhance legal operations
•Coordinate with external legal counsel as needed
Qualifications:
•JD degree from an accredited U.S. law school.
•6-8+ years of transactional legal experience at a major law firm and/or a high-growth blockchain or fintech company
•Strong knowledge of commercial transactions as well as securities, anti-money laundering, tax and other financial laws and regulations
•Deep understanding of blockchain industry; knowledge of tokenization is a plus
•Excellent analytical, research, and writing skills
•Strong communication and interpersonal skills
•Detail-oriented with a high level of accuracy and attention to detail
•Ability to manage multiple projects and deadlines simultaneously
•Ability to work independently and as part of a team
