Role: The Legal Counsel (Contract drafting & negotiation) reports to the Director, Legal Services & Corporate Secretary. The candidate will be responsible for managing contract negotiations, approvals, signatures and filing processes, while providing legal support to various corporate functions.

Your Day with Equisoft:   

  • Review and negotiate contracts, such as global NDAs, commercial agreements, licensing agreements, statements of work, amendments, change requests, and renewals.
  • Manage the contracting process, including negotiations and draft exchanges. 
  • Ensure proper filing of draft exchanges and that internal approvals are obtained as required. 
  • Manage the e-signature process and store final versions and signed copies. 
  • Prepare and circulate contract summaries. 
  • Provide legal support to corporate functions such as finance, HR, operations, and IT, as needed.

Requirements:   

Technical  

  • Bachelor's Degree in Law 
  • Licensed lawyer in the Canada, United States, Colombia, Chile or Trinidad & Tobago
  • 1-3 years of legal experience in a law firm setting, in corporate or commercial law. 
  • Strong understanding of contract law and legal principles. 
  • Knowledge of licensing agreements, including SaaS agreements, is a significant advantage. 
  • Knowledge of Microsoft 365 applications. 
  • Excellent knowledge of French, English & Spanish (spoken and written)
