Role: The Legal Counsel (Contract drafting & negotiation) reports to the Director, Legal Services & Corporate Secretary. The candidate will be responsible for managing contract negotiations, approvals, signatures and filing processes, while providing legal support to various corporate functions.
Your Day with Equisoft:
- Review and negotiate contracts, such as global NDAs, commercial agreements, licensing agreements, statements of work, amendments, change requests, and renewals.
- Manage the contracting process, including negotiations and draft exchanges.
- Ensure proper filing of draft exchanges and that internal approvals are obtained as required.
- Manage the e-signature process and store final versions and signed copies.
- Prepare and circulate contract summaries.
- Provide legal support to corporate functions such as finance, HR, operations, and IT, as needed.
Requirements:
Technical
- Bachelor's Degree in Law
- Licensed lawyer in the Canada, United States, Colombia, Chile or Trinidad & Tobago
- 1-3 years of legal experience in a law firm setting, in corporate or commercial law.
- Strong understanding of contract law and legal principles.
- Knowledge of licensing agreements, including SaaS agreements, is a significant advantage.
- Knowledge of Microsoft 365 applications.
- Excellent knowledge of French, English & Spanish (spoken and written)
