Job description

Job Summary:

The Corporate Transactions Paralegal will be working directly to support counsel and business departments related to commercial and industrial electricity and gas, commercial solar, lighting solutions, and emerging businesses. Specifically, the Paralegal will draft, review, and manage contracts, coordinate across departments and external parties, track redlines and issues during negotiation, and build and re-vamp contracting processes for commercial transactions.

Primary Responsibilities:

  • Providing support to counsel and business departments related to commercial and industrial electricity and gas, the development and operation of commercial solar energy projects, and other renewable products and services.
  • Preparing, managing, and maintaining project transaction documentation, closing checklists, and related deliverables in connection with solar financing transactions, including the sale or purchase of solar business assets and entities.
  • Drafting and finalizing a wide variety of documents including legal forms, assignment agreements, amendments, bill of sales, default letters, settlement agreements, estoppel certificates, and NDAs.
  • Initial review of RFPs, commodity sales agreements, commercial power purchase agreements, commercial real estate agreements, construction/procurement contracts, service agreements, and related documents.
  • Requesting and reviewing commercial real property title reports, title commitments; and spotting and resolving title ownership, title exceptions, and legal description issues.
  • Drafting and reviewing title curative and other real estate documents for attorney review, including easements, rights-of-way, land option agreements, assignments, subordination and non-disturbance agreements, memoranda and other recordable documents.
  • Preparing and recording necessary real estate documents and filings related to solar projects.
  • Researching any legal issues at the direction of in-house counsel (for example, in preparation for new market entries which may include public utility commission contract rules and requirements for state contractor’s licenses).
  • Analyzing contracts and preparing related summaries and/or research memos.
  • Performing due diligence research via Lexis and Pacer.
  • Structuring, tracking, and monitoring compliance audits, contract templates, and legal process controls.
  • Fostering and nurturing of relationships with internal business clients, investors, lenders, contractors, vendors, and customers.

Minimum Education and Experience:

  • Bachelor Degree required
  • Four or more years of experience as a paralegal, with additional business experience strongly preferred.
  • A broad business and legal background, with primary experience preferred in the following order: commercial real estate, with an emphasis on development or purchase and sale of unimproved property; commercial construction; and commercial energy transactions.

Salary Range:

$64,710.00 - $103,540.00

*This range reflects base pay only. Incentive earnings, like commissions or bonuses, are not included.

This role is also eligible for an annual incentive plan based on company performance.
