Lawyer (Banking and Payments Stream)

Our client is a liquidity and technology provider of solutions for the crypto and foreign exchange (FX) industry. The company specializes in the sphere of B2B services and products, catering to a wide range of clients including large licensed brokers, crypto exchanges, crypto brokers, forex brokers, hedge and crypto funds, and professional managers. B2Broker’s advanced base of ready-to-use technical solutions enables brokers to save time and money on consuming infrastructure projects and focus on enlarging their client base and increasing their revenues.

We are seeking a highly skilled Lawyer specializing in corporate and financial law with experience in Banking and Payments to join our team. This role's primary responsibility is managing all legal aspects that can impact the company's operations, including banking operations, payment processing, and compliance. The candidate must possess excellent English communication skills and demonstrate proficiency in financial regulations and transactional law.

Qualifications and Skills:

- Juris Doctor (JD) degree from an accredited law school.
- Minimum of 3+ years' experience providing legal advice to financial institutions or direct experience within banks or EMIs;
- In-depth understanding of corporate, commercial, and banking law, payment processing, and compliance requirements;
- Excellent written and oral communication skills in English;
- Strong analytical and problem-solving skills;
- Attention to detail and ability to multitask;
- Proactive mindset with a focus on finding practical legal solutions;
- Familiarity with international banking standards and best practices preferred;
- Professional certifications related to banking law or compliance (e.g. Certified Anti-Money Laundering Specialist) would be an advantage.

Key Responsibilities:

Corporate Legal Management

- Oversee the establishment and maintenance of bank accounts for multiple entities, including those holding financial licenses (e.g., safeguarding accounts).

- Ensure compliance with all relevant financial regulations and internal policies.

- Draft, review, and negotiate contracts and agreements for the company and its subsidiaries.

- Provide legal support for corporate governance matters, including board meetings, resolutions, and shareholder communications.

- Advise on legal risks, regulatory compliance, and contractual obligations.

- Manage legal aspects of corporate restructurings.

- Liaise with external legal counsel on complex legal matters and litigation.

- Develop and implement legal policies and procedures to mitigate risks.

Bank Account Management:

- Open and maintain bank accounts for multiple entities, including those holding financial licenses (e.g., safeguarding accounts).

- Ensure compliance with all relevant banking regulations and internal policies.

- Cultivate and maintain strong relationships with banking partners.

- Serve as the primary point of contact for communication with banks regarding account management and compliance matters.

Legal Advisory and Strategy:

- Provide legal advice and strategic guidance to senior management on a wide range of corporate, financial, and regulatory issues.

- Stay informed of legal developments and trends that may impact the company’s operations and proactively advise on necessary adjustments to policies and practices.

Support for Electronic Money Institution (EMI):

- Provide legal support to the EMI team, ensuring compliance with regulatory requirements.

- Assist in developing and implementing procedures for payment processing and risk management.

Contract and Document Management:

- Ensure all legal documents and contracts meet regulatory standards and protect the company’s interests.

- Draft, review, and maintain comprehensive internal documentation related to banking relationships, transactions, compliance activities, and other corporate matters.

Treasury Support:

- Work closely with the treasury department to facilitate transactions and ensure compliance with legal and regulatory standards.

- Provide legal guidance on financial transactions, including settlements, investments, and cash management.

KYC and Compliance:

- Oversee the Know Your Customer (KYC) process for new and existing clients.

- Conduct ongoing checks and Know Your Transaction (KYT) monitoring to prevent money laundering and fraud.
