Your missions

Overview:

Dragos is seeking an experienced, motivated, and solution-oriented Sr Corporate Counsel to focus primarily on commercial transactions and to assist with general corporate matters and compliance. In this role, you will review, negotiate and conclude complex commercial contracts involving software, hardware, support, and services that comply with the company’s policies and risk tolerance. You will also provide legal support with entity management, inter-company relations, corporate governance and compliance. The role will report to the General Counsel at Dragos.

Responsibilities:
  • Draft, review, and negotiate a wide range and high volume of commercial agreements including software licensing agreements, services agreements, framework agreements (including the Dragos Offering Agreement), partnership agreements (reseller, distribution, OEM and technology partner), subcontracting agreements, contracts with U.S. government entities and vendor agreements.   
  • Support internal clients with aggressive deadlines in a dynamic environment with varied business requests and competing priorities.
  • Assist with the development of policies, processes and standard template language for company contracts and playbooks and provide training on the same.
  • Identify and make improvements to Dragos’s contract processes and operations, including working closely with the finance team on the design and implementation of deal desk and drive efforts to more effectively deliver legal services to the organization.
  • Provide legal guidance and support to various departments including sales and sales operations, finance, marketing, and human resources to promote compliance with applicable laws and regulations including anti-bribery and ethics, government relations, export controls, employment, immigration.
  • Develop and maintain strong business relationships across the company and contribute to cross-functional projects and teams.
  • Spot legal and non-legal issues, provide legal advice, creative solutions, understand the practical implications of your legal guidance and assist with the implementation of that guidance.
Qualifications:
  • J.D. degree from an accredited law school
  • 6+ years of experience working as a lawyer in an in-house legal department providing a mix of commercial and corporate legal support (cybersecurity, SaaS, or technology experience highly preferred).
  • Extensive experience as the primary attorney negotiating technology transactions and complex commercial transactions worldwide with a knowledge of legal issues in Cloud/SaaS product offerings and software licensing.
  • Experience drafting and negotiating data processing/data privacy and information security agreements and working with subject matter experts in these areas.
  • Ability to cover various legal roles, the primary ones being commercial work (quality contract review & negotiations) and corporate work (governance, compliance, policies/processes/legal ops).
  • A self-starter attitude with the ability to work autonomously, take ownership of work, and adapt to continue change and shifting priorities. 
  • The ability to think creatively, collaborate effectively, and work long hours when needed. 
  • Experience with U.S. federal government contracting.
  • Experience supporting deal desk development and implementation.
  • Experience with international corporate compliance.
  • Experience with common contract management tools (e.g., Ironclad).
  • A solid IP background.

  • Base Salary: $180,000
