What you will being doing in the role of Associate General Counsel

Under the direct supervision of the Deputy General Counsel and the general direction of the General Counsel, the Associate General Counsel – Contracts & IP is responsible for oversight of Komen’s contract function and intellectual property (IP) protection. This includes ensuring proper contract templates are in place, review/draft/negotiation of all contracts, and oversight of the contract management cycle. This position also oversees management and protection of all Komen IP worldwide.

What you will bring to the table

The primary objective of the Associate General Counsel – Contracts & IP is to support Susan G. Komen in achieving our overall Vision and Mission by:

  • Providing legal guidance and support in the review, negotiation and drafting of various contracts, including, but not limited to marketing, sponsorship, partnership, cause related marketing, grants, IT, service/product agreements.
  • Conducting thorough analysis and assessment of potential risks and legal implications associated with entering into various agreements, including compliance with legal and regulatory requirements, oversight of contract policies/training, processes, and contract management systems.
  • Collaborating with internal stakeholders and cross-functional teams to ensure alignment on contractual terms and conditions.
  • Working cross-functionally with internal stakeholders and with external partners to ensure the proper clearance, prosecution, maintenance, and enforcement of Komen’s IP.
  • Advising on IP matters, including trademark and copyright protection, and assisting in and overseeing IP infringement issues.
  • Developing and implementing strategies to protect Komen’s IP rights.
  • Conducting research and providing Komen with regular updates on relevant laws, regulations, and industry trends related to contracts and IP.
  • Assisting in the management of legal disputes and claims related to contracts and IP.
  • Reviewing marketing and advertising collateral for content clearance and disclosures to ensure compliance with contract requirements and applicable laws and regulations.
  • Supporting matters related to estate and trust gifts, including the review and management of accepting and administering estate and trust gifts and assisting in management of legal disputes related to estate and trust gifts.
  • Assisting the Deputy General Counsel and General Counsel in providing timely, practical, and solution oriented legal advice to various teams in the organization; and
  • Supporting and assisting in the development and management of the contract and IP functions and personnel.
  • Supervises work of others, including planning, assigning, and scheduling work, reviewing work, and ensuring quality standards, training staff, and overseeing their productivity. May offer recommendations for hiring, pay changes and termination, but does not have responsibility for making these decisions. This position supervises Paralegal-Contracts.

We know you will have and be able to

  • Extensive experience in drafting, reviewing and negotiating a variety of contracts as well as a firm working knowledge of IP issues.
  • The ability to analyze best practices and incorporate these practices into a Komen program implementation plan.
  • Comprehensive knowledge of theories, concepts, practices, and ability to use them in complex, difficult and/or unprecedented situations.
  • Strong communication and interpersonal skills with the ability to work cross-functionally to develop, improve, and maintain applicable legal processes and cycles, and excellent attention to detail and analytical and problem-solving skills.
  • Minimum of 3-5years’ experience in the areas of contracts law, with familiarity of IP law required to effectively perform the job’s responsibilities.
  • Juris Doctor required.

  • Travel requirements required outside of your home office will be less than 5% depending on our business needs.

Approximate salary $102,000 to $145,000/annually, exact compensation ranges are based on a range of factors including the labor market, job level, internal equity and budget. Exact salary offers will be determined by factors such as the candidate's skills, experience, and geographic location.
