Job Description:

We are excited to be on the hunt for a talented and motivated individual to join our team as an International General Counsel for Clickout Media which is part of a very diverse ecosystem, currently going through some large scale transitions and asset acquisitions.

In this role, you will you be our go-to legal advisor spearheading the restructuring our ecosystems, making sure that we are within regulatory bounds for our verticals; understand and research international compliance for certain geos; create, edit and proof read contracts; advise and process or legal documentation on M&A's and navigating future regulations for the verticals we specialise. 

Responsibilities:

• Provide strategic legal advice and guidance to senior management on a wide range of legal issues affecting the company's operations.
• Spearhead the restructuring of our ecosystems to ensure efficiency, compliance, and scalability.
• Ensure that the company operates within regulatory bounds for our verticals and geographies, including researching and understanding international compliance requirements.
• Draft, review, edit, and proofread contracts, agreements, and legal documents, ensuring accuracy, compliance, and alignment with company policies and objectives.
• Advise on M&A transactions, including due diligence, negotiation, documentation, and integration processes.
• Stay abreast of changes in laws, regulations, and industry trends that may impact the company's legal position and provide proactive advice and recommendations.
• Collaborate with external legal counsel and other stakeholders as needed to address legal issues and mitigate risks effectively.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Min 5 years of experience practicing law, with a focus on corporate law, regulatory compliance, and M&A transactions.
• Prior experience serving as General Counsel or in a senior legal role within a corporate environment.
• Strong understanding of regulatory requirements and compliance considerations across various industries and geographies.
• Excellent drafting, negotiation, and communication skills, with the ability to communicate complex legal concepts effectively to non-legal stakeholders.
• Proven ability to provide strategic legal advice and counsel to senior management and drive legal initiatives to achieve business objectives.
• Ability to work independently and collaboratively in a fast-paced, dynamic environment.
• High ethical standards and integrity, with a commitment to upholding legal and regulatory requirements.

Preferred Qualifications:

• Corporate law, regulatory compliance, and M&A transactions in either Fintech, Cryptocurrency or iGaming 
• Experience within regulated and unregulated markets
• io and affiliate non payments
• Advertising partners not fulfilling io conditions for crypto marketing
• Domain / copyright disputes
• Random slander cases like go play that we need to send cease and desist
• Legal letters from authorities
