What will I be doing?**

Located at our corporate headquarters in Chicago’s Loop, and reporting to Circana’s Senior Vice President and Chief Retail Counsel, this is a unique position for a talented, versatile, and pragmatic commercial generalist with good organizational ability, keen negotiating skill and strong business and financial acumen to support Circana’s sales organization, as well as handle a variety of other commercial matters arising out of our operations. Currently, the legal team is working from home with occasional in-office meetings. **

Job Responsibilities**

  • Review, draft, negotiate and interpret a variety of agreements to primarily support Circana’s North American retail business, including but not limited to, software, technology and data licensing agreements, as well as other complex agreements arising out of Circana’s domestic and international operations.
  • Work to support the Chief Retail Counsel on strategic projects and act as primary counsel on smaller projects.
  • Provide ongoing and proactive strategic advice regarding operational and financial business risks and counsel on contract interpretation and potential dispute issues. Proactively and cost-effectively monitor and manage potential disputes, and keep stakeholders advised regarding the status of those disputes.
  • Ensure that all agreements accurately reflect our business objectives and comply with all laws and regulatory requirements.
  • Work closely with management and legal department on strategic initiatives affecting contracts and other commercial issues.
  • Participate as a member of the legal department in providing advice and counsel on a variety of legal matters that may arise out of the business, including IP, privacy and regulatory issues.

Requirements

  • J.D. degree from an accredited law school with proven academic success.
  • Minimum of five years relevant commercial generalist experience, including hands-on experience reviewing, drafting, negotiating and interpreting a variety of sophisticated agreements. Preference for experience in software, technology and data licensing agreements.
  • Strong business and financial acumen and the ability to understand our business proactively.
  • Ability to identify the aspects of an agreement or transaction that matter the most to the business, and be proactive in addressing potential issues. Proven ability to partner effectively with other functional areas and stakeholders, such as finance, accounting, tax and operations.
  • Exceptional verbal and written communication skills.
  • Excellent client management skills, with the ability to inspire confidence and trust with senior management and other professionals at all levels of the organization by virtue of professional competence, personal integrity and personal style.
  • Outstanding judgment, flexibility and strong analytic ability, with an ability to determine, prioritize and resolve issues proactively. Creativity and resourcefulness, with a drive to achieve positive results.
  • A dedication and commitment to practicing law in a fast-paced, team-oriented environment.
  • Self-starter who can manage multiple workstreams independently as well as coordinate team projects with other attorneys.
  • Eagerness to learn about the industry and comfortable guiding business teams through gray areas.

The below range reflects the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future. An employee’s position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs. The salary range for this role is $170,000 to $200,000.

This job is also eligible for bonus pay.
