Job Description

Myriad Genetics is looking for a Corporate Counsel to join its Legal team. The Corporate Counsel will report to the SVP, Legal Affairs and Corporate Secretary and will be a key position for providing legal guidance on various aspects of securities laws, corporate governance, and various other corporate matters. This role can be remote or hybrid located in Salt Lake City, Utah or San Francisco, California. **

Responsibilities**

  • Prepare and review SEC filings, including Form 10-Ks, 10-Qs, Form 8-Ks, Section 16 filings, and proxy statements, in collaboration with finance, accounting, tax, human resources, and other cross functional groups.
  • Develop, implement, and maintain policies and procedures to ensure SEC and Nasdaq compliance.
  • Stay up-to-date and keep relevant personnel advised on SEC and Nasdaq developments, ISS/Glass Lewis and institutional investor voting policies, and best practices in an evolving regulatory landscape.
  • Partner with the Investor Relations team on the legal review of investor materials, compliance oversight, and investor engagement activities.
  • Partner with Communications team on external disclosures, including the review of external communications such as press releases and other public communications.
  • Regularly review, refine, and maintain corporate governance policies and procedures and Board committee charters in accordance with applicable legal requirements and best practices.
  • Key member of the ESG working team supporting various ESG initiatives, including the publication of an annual ESG report and a climate risk report.
  • Assist with general corporate matters, including managing all U.S. entities and the annual meeting process.
  • Support capital market transactions, including any underwritten debt and equity offerings.
  • Support mergers and acquisitions and other corporate transactions as needed.

Desired Experience And Qualifications

  • Law degree (J.D.) from an ABA-accredited institution and active membership in at least 1 state bar.
  • At least 3+ years of substantive experience in securities, capital market transactions, public-company representation, and corporate governance, including at least 3+ years at a top-tier law firm.
  • Exceptional analytical, problem-solving, and decision-making abilities.
  • Ability to work independently while also effectively contributing to cross-functional teams.
  • Proven ability to provide strategic legal advice to senior management and business stakeholders.
  • Strong negotiation, drafting, and communication skills, with the ability to convey complex concepts in a clear and concise manner.
  • Strong organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment.
