Job Description

This role will report to the VP & Assistant General Counsel and will primarily provide legal guidance on matters for pharmaceutical and medical device commercial and manufacturing operations but will also support the larger corporate business. The role will have a high level of autonomy so the ability to manage work schedules and be self-sufficient is a must.

Senior Counsel must have the ability to perform and deliver results in line with the Legal Department’s Mission Statement, which is: “As trusted business partners, we leverage our judgment and skill to deliver effective and commercially attractive legal solutions. **

Responsibilities**

  • Strategic guidance and support on all legal matters related to the Contraceptive Business Unit (CBU).
  • Responsible for overseeing negotiation and drafting of various significant strategic and operational commercial contracts including supply, distribution, sales, and non-disclosure agreements.
  • Proactively assess legal risks to the business and work with management to devise and implement systems and solutions to manage this including preventive trainings and communications.
  • Provide guidance on and ensure compliance with industry specific laws and regulations including the Food, Drug and Cosmetic Act, Anti-Kickback Statute, Stark Law, Sherman Antitrust Act, Foreign Corrupt Practices Act, UK Bribery Act and relevant global industry laws, regulations and guidances concerning marketing, advertising, business conduct and health care law compliance.
  • Manage outside counsel and provide appropriate coordination for legal services/support including handling all litigation matters related to business.
  • Support all enabling functions such as Sales & Marketing, HR, Manufacturing, IT, Supply Chain, RA/QA and Finance, Tax and Treasury on legal issues and risk management (e.g., employment law, procurement, product liability).
  • Proactively partner and work with other CooperSurgical and The Cooper Companies, Inc. lawyers to drive local alignment with global best practices and active knowledge sharing.
  • Instruct and manage external counsel, where required, to ensure local legal compliance and effectively manage litigation and agency charges.
  • Active membership in PARC for CBU.
  • Assist with corporate transactions, including mergers & acquisitions.
  • Other Legal support as requested

**Qualifications

**_KNOWLEDGE, SKILLS AND ABILITIES

_ - Admitted (and in good standing) to practice as an attorney in a U.S. state (and/or another jurisdiction in which the person can qualify for registration as an in-house counsel). - A minimum of twelve (12) years of experience in working in an in-house environment or large law firm. - Generalist with a broad base of commercial experience in a corporate setting. - Demonstrable experience in federal and state health care law will be a distinct advantage. - Background in medical devices, pharmaceutical or health care industry is preferable. - Substantial experience drafting and negotiating contracts for complex commercial transactions; and the ability to analyze complex situations and communicate to internal stakeholders. - Strong organizational skills and ability to prioritize multiple projects and clients. - The ability to work collaboratively with a wide range of other disciplines, often across regions and time zones. - Excellent business acumen and ability to think strategically. - The ability to build and maintain strong client relationships.

_WORK ENVIRONMENT

_ - Prolonged sitting in front of a computer and using the telephone/conference facilities. - Although based in the company’s Trumbull, CT, Livingston, NJ or Los Angeles, California office, the role may involve travel to other areas of the company’s operations around the world.
