Job description

The Cyber and ISO Compliance Commercial Contract Manager will be responsible for managing the lifecycle of contracts from negotiation through execution, ensuring compliance with legal requirements, company policies, and strategic business objectives. This role requires a deep understanding of commercial contracts, risk management, and the ability to work cross-functionally with legal, finance, procurement, and other departments to ensure optimal contract terms and performance in line with the businesses requirements.

Role and responsibilities

Contract Negotiation and Drafting

  • Lead the negotiation and drafting of commercial contracts, including supply agreements, service contracts, sales agreements, NDAs, and partnership agreements
  • Work with internal stakeholders to ensure contract terms align with business objectives and legal requirements
  • Review and revise contract templates to ensure clarity and consistency in agreements
  • Ensure one common MSA is used across the multiple businesses across cyber and ISO where applicable

Contract Management & Compliance

  • Maintain a database of all contracts and ensure that all necessary documentation is stored, tracked, and accessible in accordance with our governance and accreditations
  • Oversee the execution of contracts and ensure that terms and conditions are met by both customers and the business
  • Monitor contract performance, resolve issues, and ensure compliance with agreed-upon deliverables and timelines

Risk Management:

  • Identify potential risks within contracts, including legal, financial, operational, and reputational risks
  • Develop strategies for mitigating risks and ensuring that the company's interests are protected

Dispute Resolution:

  • Manage contract-related disputes or breaches resolving them in a timely manner

Contract Review & Auditing:

  • Review existing contracts to identify opportunities for renegotiation or improvement
  • Conduct regular audits to ensure that contracts are being adhered to and that compliance is maintained
  • Implement a governance review process to ensure all contracts of a certain size or risk profile are signed off by contract compliance

Collaboration & Stakeholder Management:

  • Collaborate with internal departments such as sales, finance, and operations to ensure smooth contract implementation and the resolution of any contractual issues
  • Advise senior leadership within the business on contract matters and provide recommendations for improving contract-related processes
Qualifications and education requirements
  • Bachelor’s degree in law, Business Administration, or a related field
  • Minimum of 5 years of experience in commercial contract management
  • Experience in contract negotiation, risk management, and dispute resolution
  • Strong understanding of commercial law and contract management principles

  • Knowledge of cyber and compliance industry-specific regulations and standards
  • Excellent negotiation, communication, and interpersonal skills
  • Ability to work cross-functionally and manage multiple priorities simultaneously
  • Strong attention to detail and analytical skills
  • Knowledge and/or experience of IR35 compliance for UK self-employed contractors
  • Development of partner channel governance and contract compliance
Additional notes

This role will report in to the Cyber and ISO compliance senior leadership team and will be setting up this function for the division so will need to be confident in process creation and governance.
