Job Summary:
We are seeking a highly motivated Junior Corporate Counsel to join our growing legal team. In this role, you will provide support in drafting and reviewing contracts, ensuring compliance with regulations, and managing corporate records. You will also assist with legal operations and play an integral role in commercial transactions, mergers, acquisitions, and policy development. This position offers an exciting opportunity to gain hands-on experience in corporate law within a fast-paced and dynamic environment.
Key Responsibilities
Contract Management
- Assist with drafting, reviewing, and negotiating contracts, agreements, and other legal documents.
- Manage and organize the company’s contract database and ensure timely tracking of key deadlines.
- Coordinate with internal teams for the review, approval, and execution of contracts.
Compliance and Corporate Governance
- Support corporate governance and regulatory compliance activities.
- Stay updated on relevant laws and regulations to ensure adherence to industry standards.
- Assist in developing and implementing company policies and procedures.
Transaction Support
- Provide support for mergers, acquisitions, and other business transactions, including due diligence processes.
- Prepare and maintain related documentation and records.
Legal Operations and Support
- Address general legal inquiries and provide practical solutions to legal issues.
- Conduct legal research and analysis on various matters as required.
- Assist in preparing materials for board meetings and legal correspondence.
Qualifications
Required:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to a state bar and in good standing, or ability to obtain admission within six months.
- 0–3 years of experience in corporate law, preferably in a law firm or in-house legal department.
- Excellent research, analytical, and problem-solving skills.
- Exceptional attention to detail and organizational abilities.
- Strong written and verbal communication skills.
- Ability to thrive in a fast-paced environment and handle multiple priorities effectively.
- High degree of professionalism and integrity.
Preferred:
- Experience working with small businesses or startups.
- Familiarity with employment law, intellectual property, or commercial transactions.
