About the role:
Pompa Program is seeking an experienced and detail-oriented Director, Contracting & Compliance to lead our compliance, contract management, and risk oversight functions. As our organization grows and expands its operations, this role will be pivotal in ensuring we maintain adherence to regulatory standards, safeguard our legal interests, and effectively manage organizational risk. The ideal candidate will bring a strong background in administering contract negotiation, tracking and championing regulatory compliance, and working with executive team members on risk management initiatives, complemented by a proactive approach to addressing challenges in a dynamic environment.

Responsibilities:
Contract Management:
- Draft, review, negotiate, and maintain contracts with vendors, clients, and partners.
- Ensure all contracts align with company policies and legal requirements.
- Establish and oversee a contract lifecycle management system to track key dates, obligations, and renewals.
- Engage legal counsel as appropriate to protect company legal interests.
Regulatory Compliance:
- Monitor and ensure adherence to local, state, federal, and industry-specific regulations.
- Collaborate with departments and vendors to implement compliance programs and conduct regular audits.
- Serve as the point of contact for regulatory bodies and manage licensing or certification requirements.
HR Compliance:
- Partner with HR leadership to ensure compliance with employment laws, workplace policies, and ethical standards.
- Assist HR in crafting, implementing, and tracking compliance with policies on workplace safety, equal opportunity, harassment prevention, and labor law compliance.
- Support HR in handling sensitive employee matters with legal implications.
Legal Tracking:
- Maintain a centralized database of all legal matters, including litigation, claims, and regulatory filings.
- Work closely with legal counsel to track progress and outcomes of ongoing legal issues.
- Provide regular reports and updates to senior management on legal risks and updates.
Risk Management:
- Partner with COO and CFO to identify, assess, and mitigate potential risks that could impact the organization’s financials, operations, or reputation.
- Champion the development of risk management policies and frameworks for the organization.
- Conduct risk assessments and implement controls to reduce exposure to financial, operational, or reputational harm.
Requirements:
Education & Certification:
- Bachelor’s degree in law, business administration, or communications.
- Paralegal certification is strongly preferred.
Experience:
- Minimum 5+ years of professional experience with specific experience in several of the following areas: Contract Management, Regulatory Compliance, HR Compliance, Legal Tracking, Risk Management.
Legal Expertise:
- Understanding of contract law, regulatory frameworks, and employment laws at local, state, federal, and international levels.
Detail-Oriented:
- Exceptional attention to detail in drafting, reviewing, and maintaining contracts and legal documents.
Analytical Thinking:
- Ability to assess complex legal and compliance issues, identify risks, and provide strategic recommendations.
Communication:
- Excellent written and verbal communication skills, with the ability to explain legal concepts to non-legal stakeholders.
Negotiation:
- Proven ability to negotiate effectively with vendors, partners, and clients to achieve favorable outcomes.
Organizational Skills:
- Strong ability to manage multiple tasks, deadlines, and stakeholders in a fast-paced environment.

- Commitment to ethical practices and confidentiality in handling sensitive legal and compliance matters.
Proactive Mindset:
- Ability to anticipate potential legal or compliance issues and address them before they escalate.
