The Role:
As the Assistant Company Secretary, you will support the General Counsel and Company Secretary with the smooth and efficient functioning of the company’s governance framework. This role requires a proactive, detail-oriented individual with strong interpersonal and organisational skills, capable of working collaboratively with senior stakeholders and external partners. What You'll Do:
- Support with ensuring that the business complies with all legal, regulatory and statutory obligations, including the Companies Act 2006.
- Advising on corporate governance issues, including self-assessments against best practice and the development of improvement projects.
- Assist in the planning and organising of board and committee meetings, including drafting agendas, preparing materials, and ensuring effective minutes are recorded.
- Maintain required statutory registers for UK group entities and support the timely submission of all statutory returns, including annual reports, financial statements, and other regulatory reports.
- Support with the coordination of shareholder communications and dealing with investor queries.
- Assist in drafting and reviewing governance policies and procedures.
- Support the preparation of the Annual Report and other key documents.
- Provide guidance on governance matters to internal stakeholders.
- Monitor changes in relevant legislation and regulatory environments and support the development of mitigation actions to ensure the company’s compliance.
- Collaborate with the broader Legal, Risk and Governance function to mitigate legal risks and ensure a strong governance process.

Experience and skills:
- Proven experience in a similar role, preferably within a corporate or professional environment.
- Strong organisational and time-management skills, with the ability to prioritise effectively.
- Excellent written and verbal communication skills.
- High attention to detail and accuracy.
- Self-starter attitude and willingness to be involved in broader projects across the business.
Qualifications and Knowledge:
- Part-qualified or fully qualified with ICSA/CGI (The Chartered Governance Institute) or equivalent.
- Knowledge of UK company law, governance frameworks, and compliance requirements.
Other requirements for this role:
- Willingness to work flexibly to meet deadlines and attend meetings.
- Ability to handle sensitive information with discretion and confidentiality.
