Job Description:


We are seeking an experienced and highly skilled Compliance Officer with a strong background in Swedish corporate law and stock market regulations to join our team. The ideal candidate will have a thorough understanding of the Swedish Companies Registration Office (Bolagsverket), Swedish Companies Act, EU Market Abuse Regulation (MAR), and compliance with the regulations of Nasdaq Stockholm.

As the Compliance Officer, you will play a critical role in ensuring that the company maintains the highest standards of corporate governance, including managing board matters, shareholder relations, and compliance with securities law, such as insider regulations, capital raisings, and corporate transactions. Your expertise in these areas will be vital to our ongoing success in maintaining a well-regulated and compliant corporate environment in a highly regulated industry.


Key Responsibilities:


  • Corporate Governance: Oversee corporate governance processes, ensuring compliance with the Swedish Code of Corporate Governance and other regulatory frameworks.
  • Nasdaq Stockholm Compliance: Ensure compliance with the regulations and rules applicable to companies listed on Nasdaq Stockholm.
  • Bolagsverket Relations: Manage interactions with the Swedish Companies Registration Office (Bolagsverket), ensuring accurate filings and compliance with regulatory requirements.
  • Legal Advisory: Provide legal advice on corporate governance matters, board responsibilities, and shareholder relations, including capital raisings, annual general meetings, and other corporate transactions.
  • Insider Regulations & Security Law: Ensure compliance with insider rules, the EU Market Abuse Regulation (MAR), and other relevant securities laws.
  • Corporate Transactions: Support and advise on corporate transactions, such as mergers, acquisitions, and other capital market activities.
  • Regulatory Reporting: Manage and coordinate reporting obligations with regulatory bodies and ensure all documentation is filed accurately and on time.
  • Risk Management: Monitor and advise on any legal risks associated with the company’s governance and compliance practices.
  • Primary Liaison Role: Act as the primary point of contact between the company and external corporate legal counsel, regulatory offices, and relevant government bodies.


Requirements:


  • Experience: 3-6 years of legal experience as a legal counsel within a listed company (preferably within the gambling industry) or as an associate from a Swedish law firm specializing in stock market law and corporate governance.
  • Regulatory Knowledge: In-depth knowledge of the Swedish Companies Act, EU Market Abuse Regulation (MAR), Swedish Code of Corporate Governance, and other relevant regulations (including those applicable to Nasdaq Stockholm).
  • Corporate Governance Expertise: Proven experience managing board matters, shareholder relations, and compliance with securities law.
  • Transaction Experience: Strong understanding of capital raisings, corporate transactions, and compliance with insider rules.
  • Communication Skills: Excellent verbal and written communication skills in both Swedish and English.
  • Attention to Detail: Strong analytical skills with a high level of attention to detail and accuracy.
  • Problem-Solving: Ability to handle complex legal issues and provide sound, pragmatic advice to senior management and the board.
  • Collaboration: Proven ability to collaborate with cross-functional teams, external legal counsel, and regulatory bodies to achieve common goals.


Preferred Qualifications:


  • Industry Experience: Prior experience in the gambling industry is highly desirable.
