POSITION SUMMARY:

Reporting up through the AMSURG Legal Operations team, the AMSURG Counsel is responsible for providing legal advice and services in support of the operations of AMSURG and its affiliated entities.  This role provides subject matter expertise, educational resources, and strategic advice to business leaders and colleagues handling legal issues that arise in the health care setting. The Counsel will also assist with day-to-day matters.

Work Schedule: This role is offered on a fully remote basis allowing the Counsel to be based anywhere in the country.

ESSENTIAL RESPONSIBILITIES:

  • Advise, negotiate, draft, and review various legal documents for the business and its affiliated businesses.
  • Draft, review and, where appropriate, help negotiate agreements, including contracts with partners, health care vendors, IT providers, and governmental entities.
  • Serve as a subject matter expert on legal issues arising from day-to-day contracting and operations issues and business arrangements, identify legal risks, and develop proactive compliance recommendations.
  • Provide strategic and tactical advice and counsel on a wide variety of operational, contracting, and transactional matters, working with key leaders to help identify and mitigate legal issues and assist in crafting solutions to protect the Company’s interests.
  • Conduct legal research and analysis to provide recommendations and prepare written opinions and guidance for management teams and other internal clients.
  • Assist other company attorneys, compliance teammates, and business partners in spotting and resolving legal, regulatory and compliance matters to ensure activities and operations are carried out in compliance with local, state, and federal regulations and laws governing the business.
  • Act as a strategic advisor to the business on a variety of issues, including the operational impact of newly established laws and regulations.
  • Assist with special projects and performs other job-related duties as assigned.
  • Act as a liaison between management and internal or external legal experts on matters beyond AMSURG Counsel’s core substantive expertise.
  • Read and abide by the company’s code of conduct, ethics statements, employee handbook(s), policies and procedures, and other corporate mandates, including participation in mandatory training programs.
  • Demonstrated commitment to the Company’s corporate compliance program, policies, and procedures by exhibiting the company values and acting in accordance with any reporting policies of the company.
  • Adhere to all company policies and procedures, including Information Security Policies and ensure that AMSURG remains as secure as possible.
  • Regular and reliable attendance is required.

KNOWLEDGE AND SKILLS:

To perform this job successfully, an individual must be able to perform each essential responsibility satisfactorily.  The requirements listed below are representative of the knowledge, skills and/or abilities required:

Education and Experience:

  • Licensed Attorney holding a J.D. from a top-tier law school.
  • Minimum of three (3) years of related experience in a law firm or in-house setting.
  • Expertise in vendor contracting, materials management, and partnering with procurement teams.
  • Experience negotiating and reviewing healthcare-related contracts, including BAAs and NDAs.
  • Understanding of healthcare laws and regulations, including HIPAA, Anti-kickback, and STARK.
