A Brief Overview

The Managing Counsel, Regulatory & Transactional works independently to provide expert legal services and advice to clients regarding insurance regulatory matters related to life insurance, reinsurance, and pension risk transfer, provides legal services and advice to pension risk transfer unit, including drafting related documents, manages or assists in handling required regulatory filings and interactions, and works closely with corporate business partners in a team environment on issues impacting life insurance, reinsurance and pension risk transfer business.

This role is preferred hybrid work location Chesterfield MO, but will consider U.S. located remote work opportunity for the right person.

What You Will Do

  • Address day-to-day regulatory matters, including verbal and written communications, with various insurance regulators including Missouri Department of Commerce and Insurance, and the New York Department of Financial Services, on issues related to life insurance, reinsurance, and pension risk transfer business.
  • Research and analyze legal and regulatory issues and questions related to life insurance, reinsurance, and pension risk transfer business.
  • Provide timely legal advice and legal services at a seasoned and deeply experienced level to the pension risk transfer unit on all aspects of group annuity transactions including administration thereof.
  • Collaborate and communicate with members of the Global Legal Services team and business clients to perform highly complex assignments and resolve unusual or challenging legal and regulatory issues.
  • Negotiate and draft pension risk transfer commitment agreements, group annuity contracts, and other documents.
  • Advise on factors considered by independent fiduciaries in determining whether an insurer’s group annuity contract meets “safest available annuity” standard.
  • Ensure compliance with insurance legal and regulatory requirements and assist in obtaining necessary regulatory approvals with respect to group annuity contracts and related annuity certificates.
  • Collaborate with internal disciplines including investments, treasury, actuarial, structured finance.
  • Assist in due diligence and document review and preparation processes in connection with transactional matters.

Required Qualifications

  • Law degree from an accredited U.S. law school.
  • Bachelor’s degree from an accredited university or college.
  • Licensed to practice law in at least one U.S. state.
  • Experience with, and knowledge of, insurance regulatory matters related to life, insurance, reinsurance and/or pension risk transfer.
  • 10+ years’ experience as an attorney in a law firm or in a corporate legal function.
  • Business, finance or accounting degree or experience; working knowledge of insurance concepts, terminology, and practices.
  • Experienced, senior-level knowledge of U.S. insurance laws and regulations, including especially New York and ability to learn and navigate regulatory for other states, especially Missouri, related to insurance and reinsurance matters, including pension risk transfer transactions.
  • Prior experience working with state insurance regulators.
  • Working knowledge of annuities, including the state insurance and federal securities laws related to those products.
  • Working knowledge of annuities operations and related legal and contractual requirements.
  • Experience providing legal advice in connection with customer and regulatory inquiries and interacting with regulators.
  • Substantial and experienced knowledge of legal and contract terminology and methods; general business and financial knowledge.
  • Experienced ability to identify and interpret business and contract issues.
  • Experienced client counseling skills in translating business needs and problems into viable and accepted solutions.
  • Excellent client service and interpersonal skills with continual focus and dedication to high level of client service.
  • Excellent skills with respect to drafting, review, proofreading, negotiation, persuasion, and oral and written communication. Demonstrated ability to clearly present appropriate business terminology and concepts.
  • Serve clients and provide legal services and advice at a level commensurate to a senior associate or junior partner in a law firm.
  • Highly organized and results-oriented with strong attention to detail.
  • Seasoned time management skills and commitment to meet deadlines.
  • Ability to set goals, multitask and prioritize workload to deliver results on a timely basis.

Compensation Range

$171,220.00 - $254,960.00 Annual

Base pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan. RGA also maintains a full range of health, retirement, and other employee benefits.
