Job Summary:
As the VP of M&A, you will be responsible for driving our growth by developing and implementing M&A strategies that align with our business objectives. You will lead thorough due diligence processes to evaluate the financial and operational viability of potential acquisitions, negotiating favorable terms to enhance value. This highly collaborative role requires working cross-functionally to ensure strategic alignment and to monitor market trends for emerging opportunities, keeping Toptal competitive and innovative. Your leadership will be essential in cultivating relationships with key stakeholders and guiding our overall M&A strategy. Partnering closely with our CEO and Executive leadership team, you will develop and implement a framework for financial impact analysis and decision-making related to M&As.
Leveraging your M&A expertise, you will establish a robust pipeline of potential acquisition targets that align with our strategic goals. You will implement best practices in due diligence and integration processes, promoting collaboration across departments to maximize synergies and mitigate risks.

Your primary objective will be to lead the M&A team in identifying strategic acquisition targets that align with our long-term vision. This highly visible position demands a leader with exceptional communication skills, an entrepreneurial spirit, and an unwavering commitment to driving growth.
Oversee Due Diligence: Ensuring thorough assessments of potential acquisitions and their strategic fit within the organization.
Direct Financial Analysis: Supervise the analysis of financial performance, growth prospects, and market positioning of acquisition targets, providing insights to inform decision-making.
Drive Outreach and Negotiations: Lead outreach efforts to potential acquisition targets, fostering relationships and negotiating terms to maximize strategic value.
Establish Qualification Criteria: Define and refine criteria for evaluating potential acquisitions, ensuring alignment with Toptal’s long-term objectives and market positioning.
In the first week, expect to:
- Onboard and integrate into Toptal.
- Learn Toptal’s business model, our value proposition, and our story.
- Shadow critical teams throughout the organization to learn Toptal’s core operations and capabilities.
In the first month, expect to:
- Gain a comprehensive understanding of Toptal’s go-to-market strategies to effectively guide M&A initiatives.
- Lead efforts to conduct in-depth market research to identify and evaluate potential acquisition targets that align with Toptal’s strategic goals.
- Cultivate strong relationships with team members across various departments to support ongoing research and outreach efforts.
In the first three months, expect to:
- Start executing your M&A strategy leveraging internal cross-functional support from Legal, Finance, and others.
- Begin evaluating potential acquisitions by conducting due diligence, including financial assessments.
- Initiate contact with promising acquisition targets, gauging their interest in potential partnerships or acquisitions.
In the first six months, expect to:
- Demonstrate progress by contributing to the growth of the acquisition pipeline and starting to see the impact of your efforts on Toptal’s strategic goals.
- Participate in industry events, representing Toptal and building relationships with potential partners.
In the first year, expect to:
- Have successfully executed multiple acquisitions or partnerships that align with the company’s long-term goals.
- Expand your influence within the company by continuously refining and executing your strategies, leading to measurable improvements in pipeline volume and gross revenue.
- Continue scaling your efforts by optimizing processes, tools, and collaboration with other departments to drive sustained growth and success.
Qualifications and Job Requirements:
- Bachelor’s degree is required. Master’s degree in Finance, Economics, Business, or a related field preferred.
- 10+ years of demonstrated experience in M&A, investment banking, corporate development, equity research, or related fields with a proven track record of successfully leading acquisition processes.
- Investment Banking experience is required; experience working at a top-tier hedge fund is preferred.
- Leadership experience, including responsibility for business results in a fast-paced, multi-function environment.
- Strong understanding of financial analysis tools, valuation techniques, and due diligence processes.
- Exceptional negotiation and deal-making skills to secure favorable terms for acquisitions.
- In-depth knowledge of industry trends, market dynamics and competitive landscapes to identify opportunities for growth.
- Excellent proficiency in Google Spreadsheets or Excel.
- Experience in developing detailed financial models and valuations.
- Must have excellent written and oral communication skills. Good communication is at the core of everything we do, and you must be a strong communicator able to work with a wide range of stakeholders from senior executives to individual contributors.
