Responsibilities:

As Corporate Counsel – US Funds with Hines, you will proactively support the firm’s investment management business as part of a dynamic legal team, with a focus on private institutional U.S. real estate funds. The lawyer who fills this position will be a key contributor to the firm on a wide variety of legal and business matters with respect to fund formation and ongoing operations as well as day-to-day support to the firm’s clients and key business groups such as portfolio management, investor relations and business development.  We believe strongly in professional growth, development and mentoring. Responsibilities include, but are not limited to: 

 

  • Position is open to remote locations in U.S. but open to be based in Houston, Texas;
  • Providing assistance on general fund-related legal matters, including drafting and negotiation of documents related to new private fund/product structuring and launches (including term sheets, limited partnership agreements, PPMs, side letters, subscription documents) and assisting with ongoing fund matters, conflicts of interest, marketing and diligence materials, private fund regulatory issues and other investor relations items;

  • Reviewing and drafting PPMs, partnership agreements and side letters;

  • Advising on fund guarantees and fund-level financing arrangements;

  • Overseeing and managing outside fund counsel;

  • Serving as an important nexus between external fund formation attorneys and internal Hines stakeholders and the broader Hines Legal and Compliance team. The candidate will also work cross-functionally across the firm and will collaborate with the fund management, portfolio management, accounting and finance, investor relations, capital markets and tax teams.

Qualifications:

Minimum Requirements include:

 

  • J.D. from top law school required along with strong academic track record

  • Four or more years of experience within a top law firm and/or alternative investment fund or financial institution

  • Excellent interpersonal and communication skills (written and verbal)

  • Strong analytical skills, attention to detail, well organized, and proven ability to multi-task

  • Able to work well under pressure in a fast-paced environment

  • Must be a self-starter, independent worker and quick learner

  • Entrepreneurial mindset with the ability to focus on commercial outcomes over output

  • Licensed to practice law in the state of Texas or other relevant state
