Job description

About Paxos

Today’s financial infrastructure is archaic, expensive, inefficient and risky — supporting a system that leaves out more people than it lets in. So we’re rebuilding it.

We’re on a mission to open the world’s financial system to everyone by enabling the instant movement of any asset, any time, in a trustworthy way. For over a decade, we’ve built blockchain infrastructure that tokenizes, custodies, trades and settles assets for the world’s leading financial institutions, like PayPal, Venmo, Mastercard and Interactive Brokers.

About the team

Our Legal Team is a dynamic group of problem-solvers dedicated to navigating the complex intersection of finance, technology, and law. We tackle some of the most challenging issues at the heart of digital asset regulation and blockchain innovation. By ensuring compliance while pushing the boundaries of what's legally possible, we directly contribute to Paxos' mission of transforming the financial landscape.

About the role

As a Deputy General Counsel, Corporate and Commercial you'll lead the company’s corporate and commercial legal workstreams. This role involves a blend of strategic foresight and hands-on problem-solving, helping to drive complex deal negotiations in support of our products and managing Paxos’ global corporate governance portfolio. Your work will have a direct impact on Paxos' growth and the broader acceptance of digital assets in global finance.

What you’ll do

  • Provide strategic guidance, management, and coaching for a team of seasoned attorneys negotiating and closing complex enterprise deals within the blockchain and fintech sectors.
  • Refine cross functional legal partnership models to deliver positive business outcomes, align with Paxos's long term objectives, mitigate risks and maximize organizational value.
  • Serve as a thought partner for Product, Growth, and Finance partners when establishing novel product relationships.
  • Oversee management of global corporate governance structures and practices to ensure compliance with legal and regulatory requirements.
  • Work with the boards of directors and senior management of Paxos and its subsidiaries and affiliates on corporate governance matters, including fiduciary duties, board composition, and best practices.
  • Collaborate with the broader legal team to provide comprehensive legal advice that aligns with our strategic goals, focusing on areas such as intellectual property, commercial agreements, corporate governance and M&A.
  • Stay ahead of legal and regulatory developments in digital assets, privacy, and blockchain technology, translating complex legal concepts into actionable guidance for the team.

About you

  • Juris Doctor (JD) from an accredited law school and admission to at least one U.S. state bar.
  • Extensive experience in corporate and commercial legal roles within high-growth companies, particularly in the blockchain and fintech industries.
  • Proven leadership and people management skills, with a track record of building and leading diverse teams.
  • Excellent analytical, negotiation, and communication skills, with the ability to articulate complex legal and regulatory issues to non-experts.
  • Exceptional interpersonal and communication skills, with the ability to build strong relationships across the organization.
  • A proactive, collaborative approach to problem-solving, with a drive to take on new challenges and adapt to rapidly changing environments.
