Job Overview

We are seeking a highly skilled Senior Corporate Paralegal to join our esteemed legal team in a remote work environment. This position offers an exceptional opportunity for professionals looking to contribute significantly to corporate law, particularly in mergers and acquisitions as well as corporate governance. Your expertise will be invaluable in supporting our attorneys and managing complex legal projects.

Key Responsibilities

In This Role, You Will

  • Provide comprehensive assistance in mergers and acquisitions and corporate governance matters.
  • Collaborate closely with attorneys in drafting and reviewing essential legal documents, including bylaws, compliance materials, and organizational documents.
  • Manage governance filings, ensuring accuracy in corporate resolutions, minute book upkeep, and annual report submissions.
  • Maintain and update docket reminders to ensure timely compliance with corporate governance deadlines.
  • Organize closing documents and prepare electronic closing binders for efficient file management.
  • Prepare and submit state tax registrations, small business corporation elections, and stockholder consents.
  • Serve as a registered agent by drafting and completing annual filings for clients.
  • Draft various legal documents, including limited partnership certificates, articles of organization, and operating agreements for LLCs, as well as other necessary state filings.
  • Prepare and file Uniform Commercial Code (UCC) financing statements and related IRS forms.
  • Act as a primary point of contact for clients, providing data interpretation and support as required.

Required Skills

To excel in this role, candidates should possess:

  • A minimum of 5 years of paralegal experience focused on corporate or business law within a law firm environment.
  • A paralegal certificate or degree (preferred).
  • Proficiency in Adobe and Microsoft Office Suite (Word, Excel, and Outlook).
  • Exceptional written and verbal communication skills.
  • Strong judgment, organizational, and project management capabilities.

Qualifications

  • At least 5 years of experience in corporate or business law as a paralegal in a law firm setting.
  • A paralegal certificate or degree is preferred.
