Our opportunity:
Sr. Director, Corporate Law specializing in corporate governance, securities laws, mergers and acquisitions, subsidiary management, executive compensation, stock plan administration and compliance matters. In this role, you will support strategic corporate transactions and ensure compliance with key regulations. You will partner with cross-functional teams across the finance, accounting, tax, HR, corporate development, and IT departments. You will play a critical role in shaping Automation Anywhere's strategic initiatives. Who you’ll report to:
This role reports to our SVP, General Counsel
Location:
San Jose, CA. Bay Area - Hybrid role with 3 days per week working onsite from our offices in San Jose, CA.
You will make an impact by being responsible for:
- Securities law compliance - Reviewing and preparing SEC filings, assist with IPO readiness, including form 10-Ks, form 10-Qs, form 8-Ks, Proxy Statements, Section 16 filings, and other related documents. Ensuring compliance with SEC regulations, NASDAQ rules, and other public company regulations
- Corporate Governance- Providing advice on general corporate law matters, including corporate finance, accounting, tax, treasury, investor relations, corporate communications, ESG, and stock plan administration. Maintaining the company's corporate governance guidelines, committee charters, and assist in the preparation of the Board presentation materials
- Corporate transactions - Assisting with M&A, corporate transactions, debt restructuring, and intercompany agreements. Collaborating with corporate strategy team to create term sheets, support due diligence efforts, actively manage deal processes and execution, and providing post-closing acquisition and integration
- Executive Compensation - Assisting with executive compensation matters, stock plan administration, equity incentive plan, ESPP, corporate bonus plans
- Compliance- Maintaining the company's compliance program including code of conduct and EthicsPoint hotline
You will be a great fit if you have:
- Juris Doctor degree from an accredited law school required
- 15+ years of progressive corporate law experience including corporate compliance, SEC filings, '33 and '34 Act Reporting and M&A
- Admitted to practice law before the California State bar and in good standing
- Proven ability to manage multiple projects and prioritize tasks for a fast-paced pre-IPO organization

The base salary range for this position is $280,000 – $295,000 a year. The base salary ultimately offered is determined through a review of education, industry experience, training, knowledge, skills, abilities of the applicant in alignment with market data and other factors. This position is also eligible for a discretionary bonus, equity and a full range of medical and other benefits.
