  • Draft, negotiate and close commercial contracts, including but not limited to, supporting the sales, support, service, software licensing and SaaS in the EST time zone
  • Work independently after preliminary training and mentorship to execute all phases of commercial negotiations, drafting and closing of addendums to standard purchase and license terms as well as master purchase and support agreements whether on customer or v or Varian contract templates
  • Take on concurrently a portfolio of transactions, deals and contracts
  • Identify risk, address counter-positions, and draft alternative provisions to counter-party questions, concerns and proposed language, including limitations of liability, indemnity, intellectual property, privacy, security, PHI and PII in the context of commercial contracts and business associate agreements
  • Communicate and explain positions and counter-positions with sales, support and business teams
  • Collaborate with cross functional teams including sales, support, sales operations, ethical compliance, regulatory, and finance as well as various business/functional units
  • Prepare and update playbooks, contract review policies and processes and provide related training to sales, sales order management, contract administration and other functional teams

Education /Qualifications:

  • Law degree from an accredited law school
  • Licensed to practice law in Portugal or in another EMEA region
  • Must be practical, results oriented, well-organized, detail-oriented, flexible, with an ability to, after preliminary training and mentorship, independently negotiate, draft and close commercial agreements, including addendums to standard purchase and license terms, master purchase and support agreements (whether or on customer paper or Varian contract templates).
  • Ability to handle multiple matters simultaneously with little oversight
  • 7+ years of transactional and commercial experience with an emphasis on handling and negotiating substantive contract terms with customer legal or contract negotiation teams for a range of commercial agreements including hardware, software, SaaS, and related support and professional services
  • Ability to identify, assess and explain risks and independently draft alternative positions and language to mitigate risk
  • Can do attitude who is willing to take on any matter or project whether large or small, complex or simple
  • Proven ability to think clearly and succinctly and cogently articulate a negotiating position verbally or in writing as well as independently draft contracts and alternative positions in clear, concise language
  • Strong Emotional Intelligence and excellent written and verbal communication skills with proven ability to work collaboratively with multiple stakeholders
  • Effective organizational skills and the ability to manage multiple projects and complete them on time and with little supervision
  • Familiarity with data protection, privacy, cyber-security and ethical compliance issues is desirable
  • Able to thrive in a fast-paced environment and successfully manage multiple deadlines
  • Be a team player who can perform assigned responsibilities with minimal supervision
  • Prior experience working at a health care, life sciences, medical device or technology company a plus
