Job purpose
The Legal Counsel will provide comprehensive legal support across various functional areas critical to the organizationâs success. This role will work in collaboration with external legal counsel to support senior leaders and their teams in managing contractual, regulatory and operational risks while supporting the companyâs strategic objectives.
Responsibilities
The responsibilities for the Legal Counsel include, but are not limited to, the following:
General- Develop and maintain the relationship with external legal counsels for specialized legal advice and support services.
- Develop and implement policies, procedures and tools to ensure legal best practices are followed throughout the organization.
- Provide training and guidance to employees on legal topics such as contract management, data protection, intellectual property, and regulatory compliance.
Contract Management- Draft, review, and negotiate a wide range of commercial contracts with clients and vendors, including Master Service Agreements (MSAâs), Confidentiality Agreements (NDAâs), Research Collaboration Agreements, Clinical Trial Agreements.
- Ensure contracts align with company policies, mitigate risks, and meet regulatory requirements across different jurisdictions.
Risk Management & Insurance- Maintain and review the companyâs insurance policies, including general and professional liability, directors and officerâs liability, cyber liability, clinical trial and employee related insurances.
- Advise on legal risks related to operational activities and implement risk mitigation strategies.
Corporate Governance and Employment Law- Provide legal advice on corporate governance matters, support management with compliance in areas of corporate structure, ethics, and best practices.
- Advise Human Resources on employment matters, ensuring compliance with labor laws across multiple regions, and handle employment-related disputes.
Mergers and Acquisitions- Provide legal support on strategic mergers, acquisitions, and partnerships, handling legal due diligence and deal structuring in collaboration with external advisors.
Data Privacy and Security- Ensure compliance with global data protection regulations, including the GDPR, HIPAA, and other relevant laws regarding personal data of trial participants and employees.
- Collaborate with IT to ensure that robust data protection measures are in place.
- Act as Data Protection Officer (DPO) or collaborate with external DPO.
Intellectual Property- Protect and manage the companyâs intellectual property, including trademarks.
- Ensure appropriate safeguards for proprietary and confidential information in clinical trials and research collaborations.
