Corporate Counsel, Commercial, Operations & Privacy

Job Summary

National Veterinary Associates, Inc. is seeking a talented corporate generalist that is a customer-focused (both internal & external customers) team-player with strong transactional skills to join our fast-paced legal department as Corporate Counsel. In addition to corporate contracting and general commercial work, this role will also include engagement on a wide range of legal projects in support of other matters such as privacy, intellectual property, and marketing/digital advertising.

We are looking for an attorney with the flexibility to adapt to changing priorities and organizational needs, as well as the ability to operate independently in a fast-paced environment and work proactively with various teams across the organization, including business, technical, and corporate teams.

Essential Job Functions

  • Draft and negotiate a broad range of sophisticated commercial agreements including enterprise-level group purchasing agreements, professional service agreements, marketing and product support agreements, consulting agreements, non-disclosure agreements, distribution agreements, SaaS agreements, IT agreements, technology licensing, and data protection agreements.
  • Assist with development of streamlined, organized, and efficient policies and procedures for contracts.
  • Create playbooks and contract templates.
  • Review marketing copy.
  • Advise on legal issues.
  • Manage outside counsel.
  • Support Associate General Counsel with dispute resolution and litigation management for matters in the Commercial, Operations & Privacy space.
  • Support Associate General Counsel in day-to-day operations of the Privacy Program.

Qualifications

  • J.D. from an accredited U.S. law school with strong academic credentials.
  • Admission to the Bar of a U.S. state, membership in good standing.
  • 7+ years of corporate legal experience including at least 3 years prior in-house legal experience.
  • Ability to strike a sensible and practical balance between legal risks and business needs.
  • Independent, practical judgment is required to plan, prioritize, and organize a diversified workload.
  • Set appropriate priorities with internal clients.
  • Ability to effectively multitask and manage competing priorities and demands on time.
  • Strong problem-solving and negotiation skills.
  • Effective management of complicated legal and business issues.
  • Ability to effectively manage others, including outside counsel and service providers.
  • Strong drafting skills.
  • Ability to handle ambiguity, prioritize and manage multiple cross-functional projects to completion with little direction, and quickly shift from one situation or task to another.
  • Ability to be proactive in anticipating and addressing business needs.
  • Demonstrated customer service focus, with a passion for building and maintaining a high level of support for internal customers.
  • Positive, motivated, can-do attitude; self-starter with strong work ethic and excellent interpersonal skills.
  • Prior experience working remotely.
  • IAPP US Certification (may consider other IAPP certifications).
  • Basic understanding of Trademarks, Patents, & Copyrights is a plus.

The base salary for this full-time position up to $170,000. Our salary ranges are primarily determined by role, level, and location. The range provided for each job posting reflects the minimum and maximum target salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
