The Senior Vice President of Corporate & Business Development for NextGen will lead the development of corporate M&A strategy and drive the business development agenda for the organization and be responsible for assessing, developing and executing inorganic growth opportunities in conjunction with the company's overall strategic plan.
This role is integral in supporting the enterprise strategic planning process that enables the prioritization of organic and inorganic growth opportunities and allocation of resources that optimize enterprise value. Specifically, this role is responsible for identifying, prioritizing, structuring and driving major project work streams related to NextGen’s corporate strategy and special strategic partnership initiatives. The SVP will collaborate and coordinate with a range of internal stakeholders including the CPO, CTO and CFO as well as other functional leaders to develop recommendations on a wide range of concerns including build vs buy decisions and prioritization of market opportunity.
The SVP Corporate & Business Development is the member of the NextGen leadership team responsible for mergers & acquisition activity, joint ventures and other corporate and strategic partnerships. The SVP provides strategic analyses, seeks market opportunities that might not be exploited in the company’s present strategy and tracks industry trends. The SVP will both collaborate with Thoma Bravo on M&A opportunities and will also at times lead activities related to M&A including developing fact-based, analytic strategic frameworks to evaluate deal activity, drive target landscaping, assess and fit with corporate allocation goals. They will also be responsible for co-leading deal teams with Thoma Bravo and NextGen leaders on all aspects of deal execution, including researching target companies, deal structure, valuation, negotiation, integration planning, and due diligence.
The Senior Vice President will work closely with Thoma Bravo, the company’s leadership team and external partners to foster a collaborative environment in the pursuit of new business opportunities and potential investment strategies, driving M&A activity, conducting competitive analysis and creating and delivering presentations to internal/external stakeholders.

More specifically, the SVP, Corporate & Business Development will:
  • Perform independent macro analysis - assess NextGen in their wider commercial and strategic environment including industry structure and trends, regulatory environment, market-sizing, competitor benchmarking and value chain analysis.
  • Lead micro analysis - assess the internal processes of companies, including financial, product, distribution and segment analysis.
  • Corporate strategy definition and execution - including market entry or expansion strategies, revenue model and business case development, business requirements definition.
  • Presentation development and delivery – structuring, preparing and delivering presentations for the executive management team.
  • Market and competitive intelligence - :
    • Providing management with updates on key market and competitive developments such as regulatory developments, M&A activity, industry trends, etc.
    • Developing an understanding of the company’s business, competitive landscape and market position.
    • Performing industry analysis and market segmentation and identifying and tracking competitor performance.
  • Develop and shepherd a deal pipeline comprised of both large and small acquisition opportunities as well as identification of opportunities for licensing of external assets.
  • Organizational engagement – coordinate with all levels of management to gather and analyze information, synthesize, and prepare recommendations.
  • Responsible for planning, structuring, implementing and administering NextGen’s overall business partner strategies with alliance partners, services partners, resellers, co-marketing programs and software development partners.
  • Manage projects and transactions including strategic, operational and financial due diligence.
  • Identifying new business opportunities, including potential products and investment strategies, distribution channels, joint ventures and partnerships, acquisitions and strategic alternatives.
  • Managing multiple projects, responding to ad-hoc requests on competitive and strategic issues and effectively communicating with all levels of management across the company.
  • Work closely with NextGen’s Board, and its executive team to integrate external and internal considerations that help synthesize (and revise over time, as necessary) NextGen’s corporate vision and strategic objectives; design and optimize strategic plans and related activities to achieve these objectives, including but not limited to diversification strategy and geographic expansion strategy; and, growth strategy and related strategic alternatives for ensuring sustainable growth.
  • Help to identify, prioritize, structure and drive multiple M&A and/or Partnership initiatives or workstreams related to NextGen’s corporate strategy and special strategic initiatives. Structure and manage partner ecosystem including identification & management of partners and prospects by domain.
  • From the foundation of a highly curated Partner Ecosystem, the SVP will lead the efforts to develop & manage NextGen’s partner ecosystem consisting of a highly curated portfolio of complementary technology and service offerings that are priced transparently, integrate tightly with the NextGen portfolio and drive incremental revenue. It goes without saying that these partnerships could evolve into M&A opportunities.
  • Liaise with Thoma Bravo, NextGen FP&A and Legal teams as well as Bankers, to drive preliminary diligence, value proposition & business modeling and negotiations processes.
  • Maintain tight alignment and work closely with functional management teams, acting as a project manager on strategic or cross-functional projects, and bringing timely and useful insight, perspective and analytical support and resources.
  • Lead efforts to selectively divest the company of assets that are not core to the broader enterprise strategy.
CANDIDATE QUALIFICATIONS
  • At least 15 years of increasingly responsible and relevant experience leading business M&A/Corporate Development. Business Development, Alliances and Partnerships expertise is additive.
  • Experience working in a healthcare related domain is a highly preferred attribute.
  • Deep analytical and strategic experience which ideally includes a background in Investment Banking, corporate law, finance and/or tier-1 strategy/management consulting. (e.g., Alix Partners, BCG, Bain, McKinsey etc.)
  • Solid understanding of financial statement analysis, modeling and strategic assessments.
  • Strategy oriented vs transactional.
  • Ability to present findings in a clear, structured manner appropriate for intended audience with a strong ability to synthesize data into actionable recommendations.
  • Maintains relationships with key players in the industry including capability and category leaders, influencers (Attorneys, CPA’s, Strategy Consultants etc.), and Sell Side Investment Bankers.  
  • Experience in transformational situations, working in high growth companies and with defining and developing culture.
  • Demonstrated experience managing and motivating globally distributed teams. Proven ability to recruit, mentor, manage and retain world-class talent.Understands the value of succession planning and developing “bench talent”.
  • Experience developing Metrics, KPI’s and other scorecards to more effectively lead a corp dev function and optimize outcomes.
  • Maintains a strong portfolio of relationships in relevant communities including Investment Banking, Venture & Private Equity as well as influencers such as Attorneys and CPA’s to assure early access to acquisition prospects and or partnerships that may lead to future M&A.
  • Experience with SOC-II Controls, knowledge of data privacy practices and laws including HIPPA are additive.
  • Background in both structured corporate environments as well as entrepreneurial environments is important.
  • Experience in a venture or private equity-owned company, especially in a growth-focused environment like that of Thoma Bravo.

  • This is a newly created role that combines BD and Corp Dev. The total team size under the SVP would be approximately 5
LOCATION
  • While NextGen is legally headquartered in Atlanta, GA they have embraced a fully remote model. Of course, due to the nature of the role, it is expected that the SVP Corp Dev will maintain a flexible schedule to accommodate meetings with key stakeholders, to participate in industry events and to visit the offices of the company for team, leadership, and board meetings from time to time.
