Job Description

Akuo is looking for a Legal Counsel (LC) that will be working as part of the team to support the activities and progress of Akuo project portfolios in Indonesia throughout the development, financing, construction, and operational stage.

The LC will be based in Jakarta. S/He will report to both the Country Director and Head of Legal.

Key Responsibilities

1. Corporate

  • Incorporation of the SPV companies necessary to develop the projects in Indonesia: drafting of the Articles of Association, shareholders’ agreements, call/put option agreements, etc. to reflect the constraints of Indonesia laws applicable to PT Penanaman Modal Asing (PT PMA).
     
  • Performing the required formalities before notably the administrative and tax authorities, including but not limited to Badan Koordinasi Penanaman Modal (BKPM) / Ministry of Investment and Ministry of Law and Human Rights (MOLHR) for the incorporation of the entities and throughout the lifetime of the companies.
     
  • Drafting of the minutes of the shareholders’ meetings (approval of annual accounts, transfer of registered office, etc.) in collaboration with the legal department (based in Paris) and the Finance department.
     
  • Follow-up of corporate matters, reporting, and compliance, of Akuo entities in Indonesia.
     
  • Advising on the general legal and regulatory framework in Indonesia on both corporate topic and project.

2. Business / Contracts

  • Participate in the definition of legal structures of projects (structures, domicile) and drafting of the business contracts (joint venture agreement, development agreement, shareholder agreement, consortium agreement, share purchase agreement, commercial offer, Power Purchase Agreement).
     
  • Drafting, to the attention of operational and developers, all types of commercial agreements (services agreements, EPC contracts, supply agreements, etc.).
     
  • Ensure compliance of the business contracts with the business model of the projects.
     
  • Work in active collaboration with the Project Finance team and if necessary, the Finance Department.
     
  • Assist the operational teams in charge of the development of the projects, including tenders’ preparation, corporate and litigation matters.
     
  • And generally, in collaboration with other members of the legal department, provide legal assistance under Indonesian laws in all areas of law with developers and the operational in charge of projects in Indonesia.

3. Land Acquisition

  • Assisting the development team to secure the land, including but not limited to acquiring the land for the project, land registration, drafting land lease agreement, land utilization agreement, and coordinating with local notary during the securitization of the land.

4. Risks and Insurance

  • Assist the legal department in Paris in the implementation and management of the insurance policies locally.

Possibility to support other English speaking countries of the Asian Pacific Region where the Group has some activities with the help of local counsels on the tasks listed above.

Qualifications
  • At least 5 years of professional experience in the same type of position, and exposure in energy/power/infrastructure sector is an advantage.
  • Experience in structuring an M&A activities is an advantage.
  • Degree in Law (Commercial/Business). Having Master degree is an advantage.
     
  • Is confident in working with multi-disciplinary and international teams.
  • Fluent in English. Speaking French is an advantage.
  • Team player, Autonomous, Good communication skills, and open-minded profile.
