Job description

The opportunity

The Law Clerk will provide a variety of legal and administrative services, with an emphasis on (a) investment administration to the Legal Department as well as to the staff of the Investment Division and its supporting divisions generally, and (b) corporate-related documentation, processes, and record keeping.

Who you'll work with

The Law Clerk will be reporting to the Director & Senior Legal Counsel, Investments

What you'll do
  • Working with Investment Counsel on transaction-related matters as assigned.

  • Responsible for preparing investment related documentation for review by Investment Counsel including:

    • Subscription documentation

    • Know-your-client requests

    • Corporate notarial documents

    • Banking documentation

    • Delegations and certificates of incumbency

    • Investment-related regulatory filings

    • Corporate documents to support M&A transactions, financings, asset/share purchases, tax rollovers, and corporate reorganizations; and

    • Other matters as they arise

  • Responsible for handling corporate-related documentation and processes, including:

    • Creating corporations and special purpose entities for the Investment Division, including name searches, creation and organization of special purpose entities (minute books, resolutions, by-laws, etc.)

    • Maintaining corporate records and preparing filings for OTPP’s wholly-owned Ontario investment corporations throughout the entity lifecycle, including amendments, reorganizations, dissolutions, amalgamations, intercompany funds flow, annual return filings, and extra-provincial/territorial filings

    • Organizing annual general meetings of directors and shareholders and preparing minutes and resolutions for corporations and special purpose entities

    • Maintaining the corporate administration of non-Canadian and non-wholly owned subsidiaries in GEMS; and

    • Managing director appointments and resignations for employees and board members (both internal and external affiliations).

  • Developing, maintaining, and continuously enhancing document standards, precedents, and processes for the Investment Counsel team.

  • Participating in strategic initiatives and projects on behalf of the Investment Counsel team and Corporate Affairs division.

  • Ensuring knowledge sharing amongst colleagues on the Investment Counsel team.

  • Collaborating with law clerks outside of the Investment Counsel team to develop and implement innovative practices in the provision of paralegal services across the entire Corporate Affairs division.

  • Fostering integration, partnership, and collaboration across various departments including, but not limited to, Finance, Tax, and Investments.

What you'll need

  • Post-secondary degree/diploma

  • Law clerk or paralegal designation

  • Proficiency with Microsoft Office applications

  • Familiarity with subsidiary management database applications

  • 5+ years of experience in an in-house legal department and/or law firm working as a paralegal, law clerk, or similar role

  • Experience working with global organizations and familiarity with extra-provincial record keeping is an asset

  • Experience supporting institutional investments and/or other financial services is an asset

  • In depth knowledge and understanding of relevant corporate statutes (e.g., OBCA, CBCA, etc.) & investment-related law

  • Familiarity with contract and document preparation and review, as well as regulatory compliance

  • Excellent judgment, flexibility, and a collaborative mindset, with the ability to work effectively in a team and build relationships  

  • Strong organizational, communication, information technology, coordination, and secretarial skills

  • Ability to adapt and respond efficiently to unexpected timelines

  • Competent research and problem-solving skills

  • Superior discretion, professional integrity, and absolute confidentiality

  • Pension industry experience is an asset

  • Excellent communication and interpersonal skills to respond to multiple stakeholders in a timely manner, including executive members, investment professionals and functional partners

  • Strong organizational and multitasking skills with acute attention to detail

  • Ability to work well independently and manage multiple priorities (both immediately and for the Investment Counsel team in the long term)

  • Ability to co-ordinate and manage multiple tasks simultaneously, demonstrating a high degree of initiative and the ability to work well independently, ensuring timely completion of deadlines

  • Recognize opportunities and/or issues and proactively exercise judgment in recommending solutions
