Job description

TextNow is searching for a hybrid Commercial and Ad-Tech & Product in-house counsel to join its (small but mighty!) Legal Team and to help drive sales, customer acquisition, collaborate with product teams, and navigate and problem solve legal risks and requirements. This is a new role that will work closely with our Product, Finance, Procurement, Sales, and Growth teams. We are looking for a candidate that is business minded, has strong legal drafting experience and knowledge of U.S. privacy laws, preferably in the ad-tech and telecom industries.

What You'll Do
  • Review, negotiate and draft a diverse range of transactional/commercial agreements including advertising sales agreements, contractor agreements, services agreements, software license agreements, supplier/procurement agreements, partnership and reseller agreements, data processing agreements
  • Advise the product and data teams on regulatory compliance, predominantly in the areas of privacy and telecom regulation
  • Work closely with product, sales, and growth teams to accelerate sales and customer acquisition
  • Monitor and keep abreast of legal developments and legislative changes
  • Coordinate and assist with the development and revision of company policies to ensure corporate compliance with internal and external regulations, policies, and legislation
  • Delegate to and manage external counsel when necessary
  • Provide legal support on ancillary legal matters as such may arise from time to time
  • Build strong relationships quickly and interact with all levels of the business

  • Who You Are
  • Familiarity with online advertising roles and data privacy obligations associated with each (e.g. DSP, SSP, etc.);
  • Knowledge of, and experience providing guidance on privacy laws (U.S. and Canada), especially in the context of commercial transactions;
  • Experience advising product teams on areas related to consumer protection, privacy, telecom, and marketing laws
  • Certified Information Privacy Professional (CIPP), Certified Information Privacy Manager (CIPM), and/or Certified Information Security Manager (CISM) are highly desirable;
  • Member of a U.S. bar or Canadian bar, with a preference for candidates licensed in both U.S. and Canada;
  • 5-8 years of experience negotiating and drafting a broad variety of commercial contracts, including DPAs, procurement and sales contracts;
  • AdTech experience and knowledge of AdTech and/or Telecom industries is strongly preferred;
  • This is a remote role, open to candidates within the U.S., and Canada;
  • Ability to travel to an office hub (located in Waterloo (Ontario), SF, Austin, and New York) as may be required, and across North America from time to time;
  • Ability to multitask, complete projects and adjust to changing priorities;
  • Great judgment, attention to detail, interpersonal and communication skills, with demonstrated teaming ability to work well with, influence, and inform diverse groups, including peers and clients
  • Strong work ethic and the highest level of integrity and business ethics
  • Team attitude that no job is too big or too small
  • Proven ability to address complex problems and business needs while reasonably balancing legal risks
