Senior Law Clerk - Corporate Secretary's Office

We’re looking for a Senior Law Clerk!

Are you a motivated, high energy, and highly organized person with a ‘can do’ attitude? This position could be for you. As a Senior Law Clerk, you will be a part of the Corporate Secretary’s Office team in IFC’s Corporate Legal Department and assist in ensuring the efficient delivery of a variety of legal and governance matters.

Here are a few ways you'll make a difference:

Corporate Matters

  • Perform a variety of legal and administrative duties while coordinating and assisting other law clerks or lawyers with assigned matters.

  • Prepare and file articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions and other corporate transactions.

  • Prepare and maintain minute books and preparing and filing annual returns, business name, partnership, and limited partnership registrations.

  • Prepare documentation related to mergers, acquisitions, financings, asset purchases, tax rollovers and other corporate reorganizations.

  • Support with the drafting of the Annual Report and management proxy circular and organization of the Annual General Meeting.

  • Other legal and corporate secretarial functions (such as answering questions from, and identifying and providing documents to, various Business Units).

  • Support in special projects and any other related task.

Regulatory Compliance

  • Conduct statutory online or paper filings for the licensing and registrations for all regulated entities of the Group, annual returns and extra-provincial filings in accordance with jurisdictional requirements.

Boards and Committees

  • Support planning, scheduling and organizing meetings for the Board of Directors and Board Committees.

  • Preparing drafts of Board and committee meeting notices, agendas, minutes, resolutions and other material as needed.

  • Collation and circulation of meeting materials via the board portal (Dilligent).

  • Arranging the logistics and facilitate Board meetings, arrange for room booking, audio/visual equipment and catering (when required), including offsite.

Subsidiary Management

  • Responsible for the management of a portfolio of subsidiary entities.

  • Ensure compliance with all authorities as required by company by-laws, relevant government laws and regulations.

Your Skills

  • A minimum of 5 years experience as a law clerk/paralegal in a large law firm or a large internal legal department, in corporate and / or insurance law.

  • Paralegal/Law Clerk Diploma in College Studies (CDS) or undergraduate university degree in law (or equivalences).

  • Superior organization skills and ability to deliver results in a fast-paced dynamic environment.

  • Strong resourcefulness, ability to work autonomously and strong judgment.

  • Ability to handle multiple priorities and deadlines.

  • Excellent listening and communication skills and the ability to tactfully foster strong working relationships.

  • Proven ability to maintain discretion and strict confidentiality.

  • Strong computer skills, including but not limited to Word, Outlook, and corporate databases.

  • For candidates located in Quebec, bilingualism is required considering the necessity to interact on a regular basis with English-speaking colleagues across the country and internationally.

  • No Canadian work experience required however must be eligible to work in Canada.
