We are looking for a Senior Legal Counsel  – Mergers & Acquisitions (M&A) & Corporate Law based in Munich

 

About the Job

As part of Allianz Technology´s Legal Function, you will act as the global go-to expert on all aspects of Mergers & Acquisitions (M&A) and corporate law matters (except tax law and labor law) with a focus on complex domestic as well as cross-border restructuring transactions. You will proactively provide business oriented legal advice to enable the business as well as safeguard the interests of the company and to ensure adherence to applicable laws and regulations. In your new role you will collaborate with other worldwide members of the global Legal function as well as with senior IT leaders in assuring strategic support for the company's objectives, acting as a trusted advisor for the Boards of Management and Executive Management Teams.

 

What you do

  • Serve as trusted advisor on all aspects of M&A and corporate law including IT law with a focus on restructuring transactions, set standards and coordinate activities worldwide.
  • Structure and design contract and legal deal structures (IT, non-IT and purely financial) and establish contract design patterns.
  • Regularly exchange with, and advise, senior managers on intra-group transactions and corporate restructuring activities as well as on the support of Allianz Group M&A transactions worldwide.
  • Proactively liaise and align on activities with different involved functions and stakeholders within Allianz Technology Group as well as within Allianz Group on a global level.
  • Personally lead legal negotiations for commercial and corporate contracts of strategic relevance such as global outsourcing contracts with counterparts within and outside Allianz Group.
  • Stay abreast of legal developments and industry trends to provide proactive legal advice and support.
  • Oversee outside counsel as necessary to capture synergistic and efficient use of services. 
  • Develop strong, collaborative relationships with senior leaders within the Allianz Technology Group and provide advice on legal issues to all levels of management and staff.
  • Collaborate with Legal colleagues around the world ensuring consistency and disseminating best practices on a “global first” basis.

 

What You´ll Bring to the Role

  • 6+ years of experience practicing in law firms or international companies (preferably, in the financial services sector);
  • Demonstrated expert in insurance, corporate and commercial law and regulation across multiple jurisdictions;
  • Experience in various business scenarios (e.g., restructuring, integration, growth);
  • Knowledge of a breadth of substantive legal disciplines, including insurance, corporate and (IT/non-IT) contract law, and accounting standards;
  • Understanding of regulatory and compliance environment, including relevant policies, laws and regulations, across multiple jurisdictions;
  • Ability to build and foster relationships across various business areas and stakeholders across the Allianz Group;
  • Strong communication skills with the ability to express ideas and messages clearly, both written and verbally in English;
  • Ability to take initiative and solve problems;
  • Flexibility to work independently and as part of a diverse global team in different time zones as well to develop and motivate colleagues;
  • Passion and curiosity for technical developments (e.g. GenAI) and a strong interest in constant upskilling and learning; and
  • Completed studies in law and Second German State Exam – fully qualified lawyer (at least 16 points combined from First and Second State Exams).
