As part of its separation from Carrier, the Commercial and Residential Fire business is building its tax department. This presents an excellent opportunity for a motivated and strategic thinker to assume the Director of Tax Reporting and Compliance role within the Tax organization.
About This Role
This individual will lead the team that is responsible for all tax reporting and compliance across the enterprise including the annual federal and state returns, annual and quarterly financial statements, management reporting, and related quantitative analyses.
This role represents the opportunity to help build and shape the future of our tax department. In addition to having high visibility within the tax department and reporting directly to the head of tax, this person will also regularly interface with leaders in other departments across the company. This role will supervise one to two positions that will assist with reporting and compliance responsibilities.
Key Responsibilities:
Work with stakeholders across the company to manage and support all aspects of planning projects and deals. Key activities include implementing strategies to reduce the company’s effective tax rate, assisting business development by advising on tax aspects of the deal life cycle, and advising corporate functions and business units on tax issues arising from business operations in an ever-changing global environment. Specific responsibilities may include, but are not limited to:
Tax Planning and M&A
Marry business initiatives with tax law to proactively manage cash taxes and ETR initiatives across multiple years
Drive projects from initial feasibility through implementation
Work collaboratively with advisors to assess risks and deliver projects on time and within budget
Continuously work with stakeholders in tax and other functions to advise on all facets of projects
Assist with and review complex tax models related to projects
Become a trusted internal resource for all matters of tax questions
Monitor and summarize legislative changes with a focus on potential impacts to the Company
Structure buy and sell deals (including JVs) from a US & international tax perspective (including both local country and US tax considerations related to the deal structuring, funding considerations, etc.)
Conduct buy and sell-side due diligence
Understand the business objectives for post-acquisition integration
Anticipate Foreign, Federal, and State income and transaction tax issues raised by various transactions
Review of legal agreements (e.g., stock purchase agreement, IP license agreements, transition services agreements, etc.) from a tax perspective
Business Unit Support
Directly interface with Business Unit CFO and personnel to understand tax issues impacting business operations
Develop strategies with business leaders to mitigate tax cost to the business
Become a trusted advisor and single point of contact for business unit personnel
Support local tax audits, as needed
Assist business with transfer pricing issues or implementing pricing strategies
Required Qualifications:
Bachelor’s Degree in Accounting, Finance Economics or Business
10+ total years of international tax planning and/or M&A experience in a large multi-national corporation or with a Big 4 accounting firm or law firm
Preferred Qualifications:
JD or Advanced degree (LL.M. or MST) preferred
Strong understanding of tax issues related to internal restructurings and mergers & acquisitions
Tax and financial modeling
Working knowledge of transfer pricing a plus
Technical Competencies:
Experience implementing complex projects in a multinational company
Knowledge of U.S. federal and international tax concepts, including Subchapter C, and Subchapter K, international mergers, acquisitions, dispositions, outbound transfers, financial instruments, hedging, intercompany debt, subpart F, GILTI, FDII, and foreign tax credits
Working knowledge of tax issues that arise in international transactions
Knowledge of M&A deals and funding structures
Knowledge of general tax principles which may impact a multi-national manufacturing company
Research and writing skills including experience communicating tax positions and reviewing intercompany agreements
Quantitative analysis skills including ability to review and analyze financial models
Ability to identify and evaluate local foreign tax issues such as permanent establishment issues, indirect taxes and withholding taxes
Ability to drive multiple projects simultaneously and synthesize broad tax impacts to the Company
