Position Summary/Objective

The position is responsible for providing strategic support regarding all legal and compliance affairs for Orbia’s Connectivity Soulutions Business Group operations in the United States and Canada by identifying, prioritize and manage legal risks on the basis of a deep understanding of the Connectivity Solutions businesses, while helping to solve business problems in accordance with the highest standards of ethics and compliance under applicable laws.


Duties & Responsibilities

  • Provide legal advice and assistance in support of Orbia's Connectivity Solutions Business Group in the United States and Canada, with a focus on corporate and commercial matters, but also with responsibility for providing general legal support for the wide range of legal matters and issues affecting the business;
  • Oversee external lawyers (assessment of requirements and ability of external lawyers to provide timely, accurate advice in a pro-active, cost-effective manner), and manage legal budget;
  • Assist with dispute resolution and litigation matters (assessment as to when to litigate or not and coordinating strategy and tactics within the company and liaising with Business Groups and external advisors where necessary);
  • Collaborate with Orbia’s Chief Compliance Officer regarding compliance matters involving Connectivity Solutions in in the United States and Canada;
  • With internal and external support as appropriate and necessary, provide legal strategy and advice on transactional matters including M&A, licensing, complex development, and supply and other commercial transactions;
  • Provide legal advice and support for the Connectivity Solutions HR function in the United States and Canada;


Corporate Governance

  • Support Orbia’s corporate secretariat in ensuring compliance and appropriate governance for Connectivity Solutions entities in the United States and Canada (e.g., preparing and, as applicable, filing board minutes and other corporate documentation, maintaining roles of directors and officers, and organizing appropriate records);
  • Support finance, tax, and treasury functions for the Connectivity Solutions Business Group in the United States and Canada;
  • Develop and implement procedures to ensure effective Corporate Governance within Orbia’s Connectivity Soulutions Business Group, particularly in the United States and Canada.


Compliance

  • Support Orbia’s General Counsel, Orbia’s Chief Compliance Officer and the VP and General Counsel of Connectivity Solutions in ensuring compliance throughout the business in the United States and Canada;
  • Assist the Chief Compliance Officer, including within the “compliance liaison” framework, in executing or implementing aspects of Compliance Program throughout Connectivity Solutions;
  • Assist as appropriate in conducting investigations, particularly in the United States and Canada.


Main Tasks and Duties

  • Assist the VP and General Counsel of Connectivity Solutions in defining and implementing for all legal entities within Orbia’s Connectivity Soulutions Business Group in the United States and Canada agreed legal and governance strategy with senior management and support implementation;
  • Identify, prioritize, and manage legal risk;
  • As requested, provide strategic legal support for Business Groups other than Connectivity Solutions in the United States and Canada;
  • Assist attorneys from the other Business Groups as and if necessary, and collaborate with other members of the Legal Department, including the Chief Compliance Officer, to support legal, regulatory and compliance matters of importance to Orbia as a whole.


Education & Work Experience Requirements

  • Must have a JD degree from a top law school;
  • Current active license as a practicing lawyer in the US and at least 12-15 years post- bar admission experience;
  • Strong legal experience in the US and Canada; ideally in a publicly-traded multi-national company. Broader international experience is desirable;
  • M&A/licensing/sophisticated transactional experience is desirable;
  • ‪‪Experience drafting and negotiating commercial contracts relating to industrial, manufacturing, supply, intellectual property, commercial, corporate (and related matters flowing out of the same);
  • Experience working in a SOX-compliant environment is desirable;
  • ‪‪Experience with risk assessment, investigations, and dispute/litigation management
  • Experience in dealing with compliance-related subject matter such as antitrust, anti-corruption and data privacy; development, implementation or monitoring of corporate policies;


Occupational Requirements

  • The candidate needs US legal qualifications and work experience and exposure to other legal systems, ideally including law firm and in-house experience;
  • Overseeing commercial negotiations, advising the business on relevant regulations and compliance, providing solutions and resolution to disputes and litigation and collaborating with the international legal team on certain key matters that effect group strategies.
  • Strong background in corporate and business law managing international affairs, gained from a leading law firm or corporation.
  • Already transitioned in-house into a more generalist role, with exposure to commercial contracts and regulatory matters
