PXiSE is seeking a Contracts Specialist to be responsible for the management and administration of commercial sales contracts for the installation, design, engineering, and commissioning of PXiSE Software Products and Services, in addition to the management and administration of supplier agreements. The Contracts Specialist will support successful execution of contracts and must be comfortable breaking down complex documents and models into digestible parts, setting clear deadlines, organizing and improving processes, leading meetings, and working within teams to complete deliverables on demanding timelines. The ideal candidate will be an experienced professional with a passion for creative and pragmatic problem solving in a startup environment. The role will be 50% Commercial Sales Support, 20% Proposal Support, 10% Contract Administration, 10% Supplier/Vendor Agreements, 10% Other.

Duties And Responsibilities

  • Provide proposal support for the Commercial Sales Team to review Requests for Proposals (RFP)/Requests for Information (RFI), contract templates, and any other documentation that includes commercial terms.
  • Draft, review, redline, and negotiate all commercial contracts and supplier/vendor agreements to include MSA’s with Task Authorizations, Service and Product Agreements, Consultancy Agreements, Marketing Agreements.
  • Contracting activities are primarily focused on development and sales of IT software; knowledge of software-related IP issues will be instrumental.
  • Participate in key meetings as a business advisor and provide contractual support as needed.
  • Will perform legal functions that require analytical risk assessment and problem-solving skills, independent judgment, strong organizational skills and acute attention to detail.
  • Implement negotiating strategies for technical, commercial, and legal terms (scope, cost, schedule, LDs, etc.)
  • Coordinate contract reviews with the appropriate focus "i.e., cybersecurity, corporate governance, legal, technical"
  • Provide contractual support to Project Managers in the execution of projects, tracking commercial issues, and drafting formal correspondence.
  • Monitor contract compliance to ensure that all legal and contractual matters are addressed efficiently and promptly in accordance with Yokogawa Policies and Procedures.
  • Aid in all Sourcing Event activities related to supplier agreements to include procuring technologies/equipment/services in support of customer projects through tender development, issuance of RFP’s, to source selection, and on to contract award.
  • Participate in special projects or other duties as needed.

Required Education

  • Bachelor's degree in business, law, finance, or supply chain required.
  • Juris doctorate is preferred

Required Experience

  • 5-10 + years in a comparable contracts administration or contracts management role

Salary Range 72,000 - 121,000
