Deputy General Counsel - Securities, Corporate Governance, Mergers & Acquisitions (Remote US)

Allegion is seeking to hire a Deputy General Counsel to be responsible for corporate governance and securities laws matters, mergers and acquisitions, and capital markets transactions at Allegion. Reporting directly to the General Counsel, the Deputy General Counsel will play a key role in ensuring adherence to public company reporting requirements and corporate formalities and the preparation and delivery of timely, accurate and high-quality materials for the Board and its committees. This Deputy General Counsel will also, together with others within the department and within other functions and business segments, lead US-based mergers and acquisitions as well as finance and other treasury transactions.

What You Will Do:

  • Provide high quality advice and counsel and ensure compliance on the company’s periodic reports and filings (including 10-Ks, 10-Qs, 8-Ks, and proxy statements), Section 16 compliance and reporting, and SOX, NYSE, and other SEC requirements and compliance.
  • Provide support and advice for leadership of the Board of Directors and various committees and assist the General Counsel with management of corporate board functions.
  • Together with the General Counsel and other members of the legal team, responsible for all Board administrative matters, including meeting calendars, agendas, distribution of materials, meeting logistics, director compensation, and minutes of meetings.
  • Together with other functions, prepare the company’s annual proxy statement and provide oversight and direction for the annual stockholders’ meeting, including preparation of all associated materials and filings.
  • Assist and advise management and Investor Relations with respect to earnings reports and investor calls.
  • Partner with External Affairs to review materials and coordinate any necessary filings.
  • Provide advice and counsel on matters relating to executive and director compensation and plan documentation.
  • Provide legal support for the full range of transaction activities, including acquisitions, divestitures, joint ventures, partnerships, minority investments, and venture investments.
  • Provide advice on deal terms and structuring and manage transaction processes from start to finish.
  • Support, implement, and monitor post-closing activities (including indemnification claims, earn-outs, and post-closing adjustments) and legal integration/separation.
  • Provide legal and strategic guidance to assess and mitigate legal risk associated with stock and financing transactions, including assistance structuring, reviewing, drafting, and negotiating financing facilities, and other treasury and tax-related matters.
  • Provide clients with timely, effective, accurate, business-sensitive, professional, creative, and comprehensive responses and other services to achieve business objectives related to corporate governance and securities matters, mergers and acquisitions, and capital markets matters.
  • Handle other projects and matters as may be assigned from time to time.

What You Need to Succeed:

  • Bachelor’s degree and J.D. from an accredited U.S. law school and licensed in good standing in at least one U.S. jurisdiction; able to become licensed in the state of Indiana within the first 180 days of employment.
  • Minimum of 15 years of relevant legal experience, gained through a combination of law firm and in-house experience at a publicly traded company, with a strong focus on public company governance, SEC and SOX compliance, mergers and acquisitions, and capital markets transactions.
  • Demonstrated expertise in handling complex corporate transactions, federal and state securities laws matters, and public company reporting/disclosure requirements.
  • Proven track record of providing strategic legal advice to senior executives and board members as well as building effective, collaborative partnerships across constituencies within a matrixed environment.
  • Strong analytical and problem-solving skills with the ability to think strategically.
  • Excellent negotiation skills.
  • Able to influence peers as well as senior management, take ownership of responsibilities and work in a self-directed environment, communicate well orally and in writing, analyze data, draw conclusions, and make a compelling case for recommendations, and handle ambiguity.
  • High level of integrity, professionalism, and ethical standards.
  • This position can be located anywhere in the US remotely.

    Compensation: This range is provided by Allegion. Your actual pay will be based on your skills and experience.  

    • The expected Base Salary Range is $201,300 - $327,000 annually.  The actual compensation will be determined based on experience and other factors permitted by law.
