We are looking for a General Counsel who will own the legal and compliance functions at Carrum and be crucial in providing legal advice, ensuring compliance in a highly regulated industry, and helping us ensure that we balance risk and business goals effectively. Reporting to the CFO, you will be responsible for all aspects of the legal function, including contracting, legal strategy, compliance, corporate governance, and executive leadership. The GC will play a critical role in our success.

Reporting to the CFO you will own the legal and compliance functions at Carrum and be crucial in providing legal advice, ensuring compliance in a highly regulated industry, and helping us ensure that we balance risk and business goals effectively. You’ll be responsible for all aspects of the legal function, including contracting, legal strategy, compliance, corporate governance, and executive leadership. 

The salary range for this role is $270,000 - $300,000 depending on geography and level of experience, plus equity and an annual bonus.

  • Strategic Leadership: Develop and implement the company’s legal strategy in alignment with business objectives. Advise the executive team and board on key legal and regulatory issues impacting the company. Represent the company in legal proceedings and negotiations. 
  • Risk Management: Responsible for comprehensive legal risk management, focusing on mitigating regulatory, operational, and technological risks across the organization. Develop and implement robust risk management frameworks, provide strategic legal guidance to the executive team, and ensure compliance with complex healthcare regulations while supporting the company's innovative growth objectives.
  • Contract Management: Manage the review, drafting, and negotiation of complex contracts and agreements, including contracts with employers, partners, providers, and vendors. Provide legal guidance on contractual obligations and risk management. Ensure proper documentation and compliance with contractual terms. 
  • Compliance: Ensure compliance with all relevant laws, regulations, and industry standards. Oversee internal policies and procedures to mitigate legal risks. Monitor changes in legislation and regulations that may affect the company’s operations. Partner with Human Resources as needed on internal investigations and other matters. Oversee company certification and audit programs, including HIPAA, HITRUST and SOC2, and manage internal team to ensure proper monitoring and audit processes are in place. 
  • Corporate Governance: Provide legal support to the Board of Directors and its committees. Oversee corporate governance practices and ensure adherence to best practices. Manage the company’s legal documentation, including corporate records and contracts.
  • Team Leadership: Lead, mentor, and develop a high-performing legal and compliance team. Foster a collaborative and inclusive work environment. Oversee departmental budget and resources. Manage outside counsel relationships and budget.

  • Juris Doctorate with active bar membership in good standing
  • 10-15+ years of business/healthcare law experience at an AmLaw 100 law firm and/or corporate legal department, including relevant previous experience in healthcare regulations and transactions, ERISA, privacy, data use, corporate compliance and general corporate governance .
  • Prior experience as a general counsel or deputy general counsel desired
  • Prior experience working in a venture capital or private equity backed organization is preferred
  • Proven track record of project and process development, implementation, and project management.
  • Proven ability to lead and function as a member of a small team
  • Demonstrated experience providing legal advice in a highly regulated industry that includes identifying and resolving legal and regulatory issues quickly and effectively, with an ability to make real-time decisions.
  • Demonstrated experience prioritizing conflicting demands from multiple internal business clients in an extremely fast-paced environment. Prior experience providing legal support to a sales team is highly preferred
  • Experience in the healthcare industry.
  • Demonstrated experience providing legal advice in a highly regulated environment.
  • Excellent influencing skills combined with an ability to build strong working relationships within a matrix environment.
  • Advanced communication skills - both written and verbal.
  • Demonstrated ability to think and lead on a strategic level within a complex organization
  • Ability to deal effectively with people and work in diverse teams virtually.
  • Level-headed approach to risk and managing such risk against business objectives.
