We are seeking an Assistant General Counsel – General Corporate to provide strategic legal support across key business functions, including general corporate matters and governance, corporate finance, contract negotiation, IT agreements, employment law, regulatory compliance, and risk management. This role is ideal for a seasoned attorney who thrives in a fast-paced environment and is looking for a broad-based in-house practice that enables business growth while managing legal risk. The ideal candidate will have strong expertise in corporate matters, commercial transactions, corporate governance, and compliance, with the ability to collaborate cross-functionally to support an expanding organization.

Key Responsibilities
Advise on commercial initiatives, business transactions, corporate finance matters and corporate policies to ensure compliance with applicable laws and regulations
Support Compliance, HR, IT, Corporate Finance, Treasury, and other Corporate Departments
Draft, review, and negotiate a variety of business contracts, including financing contracts, vendor agreements, IT/software licensing, data privacy agreements, employment contracts, non-compete agreements, and service agreements
Provide legal counsel on employment matters such as hiring practices, employee relations, wage and hour compliance, employee benefits, leave administration and compliance, and workplace policies
Support the review and negotiation of IT-related agreements, including SaaS contracts, data processing agreements, cybersecurity policies, and regulatory compliance related to data privacy laws (e.g., GDPR, CCPA)
Ensure adherence to applicable state and federal laws, including employment regulations, consumer protection laws, and data security requirements
Identify legal risks related to business operations and develop strategies to mitigate exposure while supporting business objectives
Provide legal guidance on corporate governance matters, policies, and best practices to support business operations
Assist in resolving disputes related to commercial contracts, employment issues, and vendor agreements, and work with outside counsel as needed
Assist in the creation and implementation of company policies related to business operations, compliance, and legal risk management
Provide legal due diligence and contract review for acquisitions, partnerships, and integrations
Negotiate and draft real estate and construction agreements, lease agreements, and related business property matters
Conduct and advise on internal investigations related to employment practices, compliance issues, or contract disputes
Work cross-functionally with Compliance, HR, IT, Finance, and Operations teams to align legal strategies with business goals
Support the Chief Legal Officer on key legal initiatives and high-priority projects as needed
Qualifications
Juris Doctor (J.D.) degree from an accredited law school and active bar membership in good standing
10 + years of relevant legal experience with a focus on corporate matters, business operations, contracts, IT, and employment law
Experience advising on employment law matters and HR-related compliance issues
Familiarity with data privacy regulations (e.g., GDPR, CCPA) and IT contracting best practices is preferred
